Job description

Senior Legal Counsel

Be a strategic legal partner to a growing public company.

At Worthington Steel, our Legal team is more than a support function. We are trusted business partners who help drive smart decisions across the organization.

We're looking for a Senior Legal Counsel who enjoys solving complex business challenges, building relationships, and providing practical legal guidance that enables the business to move forward with confidence.

Reporting to the Assistant General Counsel, you'll partner with leaders across Sales, Purchasing, Information Technology, Finance, Human Resources, and other corporate functions to negotiate commercial agreements, manage legal risk, and support strategic initiatives. While commercial contracting will be your primary focus, you'll also have opportunities to contribute to corporate governance, mergers and acquisitions, regulatory matters, and other high-impact legal projects.

What You'll Do

  • Draft, review, negotiate, and advise on a wide variety of commercial agreements, including customer and supplier contracts, SaaS and technology agreements, software licensing, professional services agreements, nondisclosure agreements, and other commercial transactions.
  • Partner with business leaders to provide practical, risk-based legal advice that supports business objectives while protecting the company's interests.
  • Advise stakeholders on legal issues involving data privacy, cybersecurity, artificial intelligence, intellectual property, confidentiality, and other emerging business risks.
  • Develop creative, solution-oriented approaches to complex legal and commercial challenges.
  • Monitor and interpret legal and regulatory developments affecting commercial operations.
  • Improve contract templates, negotiation playbooks, policies, and legal processes to create greater efficiency and consistency.
  • Collaborate across functions to support strategic business initiatives and continuous improvement efforts.
  • Help prevent and resolve commercial disputes by advising business partners on contractual rights, obligations, and risk mitigation strategies.
  • Support corporate governance, financing activities, mergers and acquisitions, and other strategic legal matters as opportunities arise.
  • Manage outside counsel on assigned matters and help ensure high-quality legal support.

What You'll Bring

Required Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in Ohio.
  • Five to seven years of legal experience in a law firm, in-house legal department, or a combination of both.
  • Demonstrated experience drafting, reviewing, and negotiating complex commercial agreements.
  • Experience advising business clients on commercial legal matters involving technology transactions, data privacy, cybersecurity, or related regulatory issues.
  • Strong analytical, negotiation, research, and communication skills.
  • Ability to manage multiple priorities while exercising sound business judgment.
  • A collaborative approach with a proven ability to build trusted relationships across diverse business teams.

Preferred Qualifications

  • Experience supporting manufacturing, industrial, or publicly traded companies.
  • Experience with AI-related commercial contracting or governance.
  • Familiarity with U.S. privacy laws and data protection frameworks.
  • Experience supporting mergers and acquisitions, corporate governance, or other corporate transactions.
  • Experience developing contract templates, playbooks, or legal operations improvements.
