    Job Summary:
    The Vail Resorts Legal team is seeking a Commercial Counsel to join our team. This role sits at the intersection of commercial contracting, brand initiatives, and technology. This position is primarily responsible for supporting management of the Company’s commercial contracting portfolio across the enterprise and supporting marketing-related initiatives, with secondary support for technology and IT matters. This role reports to the Senior Contracts & Leasing Counsel, with a dotted-line reporting relationship to the Senior Commercial Counsel (IT and Marketing), ensuring alignment across key functional legal areas. The successful candidate will demonstrate strong business judgment, intellectual curiosity, and the ability to navigate complexity. They will be skilled at identifying material risks, delivering clear and actionable legal guidance, and balancing legal considerations with business objectives. The most successful attorneys at Vail Resorts are collaborative, hungry, humble, and smart, and bring a sense of humor and perspective to a fast-paced environment.

    Job Specifications:  

    • Starting Wage: $145,000 - $160,000 + Annual Bonus 
    • Employment Type: Year Round

    Job Responsibilities:

    • Independently review, draft, and negotiate a wide range of commercial and technology agreements, including master service agreements, purchase agreements, event agreements, professional services agreements, NDAs, construction-related agreements, sponsorship agreements, SaaS and cloud agreements, and other vendor contracts;
    • Provide legal advice on marketing matters, such as licensing, brand usage, promotions, sponsorships, and advertising initiatives, in collaboration with subject matter experts;
    • Manage and oversee the company’s intellectual property portfolio, including its trademarks; partner with marketing and brand teams to protect and strengthen brand assets and ensure consistent, compliant use globally;
    • Provide legal advice on IT and data privacy matters;
    • Support senior attorneys on high-impact enterprise projects;
    • Interpret and clearly communicate contractual rights, risks, and obligations to business stakeholders;
    • Provide strategic legal advice and transaction support across the full contract lifecycle;
    • Identify trends and recurring issues within the contracting portfolio to mitigate risk and improve processes;
    • Partner with Procurement, IT, Construction, Strategic Alliance, Information Security, Marketing, and other teams to develop policies, procedures, and best practices;
    • Leverage technology, including AI tools and Contract Lifecycle Management (CLM) systems, to enhance efficiency, standardization, and scalability of contracting processes;
    • Assist in developing and delivering legal training to internal stakeholders;
    • Build strong relationships with business leaders and act as a trusted advisor across functions;
    • Other duties as assigned.

    Job Qualifications:

    • Bachelor’s degree and Juris Doctor required;
    • Active state bar membership required; ability to obtain Colorado single-client license (or full Colorado bar license);
    • Minimum of 4+ years of relevant legal experience (law firm and/or in-house);
    • Experience negotiating complex commercial agreements;
    • Strong drafting, negotiation, and issue-spotting skills with the ability to simplify complex concepts;
    • Demonstrated ability to provide pragmatic, business-oriented legal advice;
    • Excellent written and verbal communication skills across all levels of theorganization;
    • Strong organizational skills and ability to manage multiple priorities;
    • Ability to operate effectively in a fast-paced, evolving environment.

    Preferred Experience:

    • Familiarity with marketing/advertising legal principles;
    • Experience with SaaS, cloud, data protection, and information security agreements;
    • Experience with Contract Lifecycle Management (CLM) systems, AI tools, and legal technology platforms.

    The expected Total Compensation for this role is $145,000 - $160,000 + Annual Bonus. Individual compensation decisions are based on a variety of factors.
