Job description

Job Title: Legal Administrative Assistant – Corporate M&A

Location: Richmond Office

Job Type: Full-Time, Non-Exempt


Position Overview:

Whiteford is seeking an experienced Corporate M&A Legal Administrative Assistant to provide comprehensive legal and administrative support to attorneys with a busy and sophisticated mergers and acquisitions and corporate transactional practice. In addition to general administrative responsibilities such as calendar management, document preparation, matter organization, billing support, and coordination of meetings and deadlines, this role will provide hands-on support for M&A transactions, including due diligence, preparation and organization of transaction documents, document execution, closing coordination, and post-closing organization.


The ideal candidate will have prior corporate or transactional legal experience and be comfortable supporting attorneys through multiple stages of complex M&A transactions.


This is an excellent opportunity for a proactive, detail-oriented professional who is skilled at managing large volumes of documents, maintaining organization across multiple matters and deadlines, anticipating attorney needs, and working effectively in a fast-paced, deadline-driven law firm environment.


Key Responsibilities:


  • Provide comprehensive day-to-day administrative support to the Corporate M&A team, including calendar management, meetings, conference calls, travel, transaction-related activities, invoices, expense reports, purchase orders, and other administrative matters.


  • Prepare, format, proofread, copy, scan, file, distribute, organize, and maintain confidential M&A documents, correspondence, corporate records, transaction files, and other legal materials.


  • Support due diligence and transaction management by tracking requests, organizing diligence materials, maintaining transaction checklists, and managing electronic data rooms and other document repositories.


  • Assist with transaction meetings, document execution, signing and closing processes, and post-closing activities, including organizing and maintaining related materials and records.
  • Handle confidential and sensitive information with discretion and professionalism while identifying opportunities to improve administrative processes, organization, and workflow efficiency.


  • Perform other administrative and project-related duties as assigned.

Qualifications:


  • 2+ years of administrative support experience in a law firm, corporate legal department, investment banking environment, or similar professional setting; experience supporting attorneys, executives, or transactional teams strongly preferred.


  • Familiarity with mergers and acquisitions, corporate transactions, due diligence, and legal terminology preferred.


  • Strong proficiency with Microsoft Office, including Word, Excel, PowerPoint, and Outlook; experience with document management systems, virtual data rooms, e-signature platforms, and other legal technology is a plus.


  • Exceptional organizational, time-management, communication, and attention-to-detail skills, with the ability to manage multiple priorities and meet time-sensitive deadlines.


  • Ability to work effectively with attorneys, senior executives, external advisors, and other stakeholders while exercising sound judgment, discretion, professionalism, initiative, and follow-through.
