Under the direction of the Sr Manager, Legal Operations, the Contracts Specialist, will work closely with attorneys, legal systems team, interdepartmental business teams, and vendors to provide legal, administrative, and related support integral to the organization's legal operations. This individual will serve as a subject matter expert and will ensure the management and execution of agreements critical to our business functions. This will include reviewing and drafting contracts, while safeguarding our organization's interests
Responsibilities
  • Contract Management: Oversee the lifecycle of contracts from initiation to closeout. Manage and facilitate the review and execution of vendor documents between vendors, attorneys, and internal business teams. Track progress, deadlines, and contract status to ensure timely execution.
  • Document Control: Manage files and documents related to pending and executed contracts through the contract management system. Provide information and support to vendors, and business teams regarding related contracts, processes, and status updates. Responsible for preparing and finalizing contracts for electronic signature via Docusign, ensuring accuracy and timely execution.
  • Vendor Relations: Establish and maintain relationships with vendors, including the facilitation of contract negotiations.
  • Contract Review: Review, draft, redline contracts including NDAs, SOWs and MSAs.
  • Collaboration: Assist cross-functional team members from all levels, including leadership, business teams, Legal Systems and IT teams to facilitate contract negotiations and resolve issues effectively. Provide training on processes to team members and business teams. Assist the Legal department on various projects and tasks as needed.
  • Continuous Improvement: Evaluate effectiveness of system processes, workflows, reports, and make recommendations to enhance and streamline operations. Collaborate with Legal Systems team to improve Salesforce and Docusign CLM for vendor contracts. Work with leadership to identify and problem-solve contracting issues.

Required
  • Bachelor's Degree from an accredited college in the related field. In lieu of degree, 4+ years of experience is required or the equivalent combination of education and experience.
  • Extensive knowledge of Microsoft Office suite, Adobe Acrobat, and similar software applications.
  • Experience in preparing and drafting legal instruments.
  • Ability and willingness to work in person in Irvine, CA.

Preferred
  • Proficiency with Salesforce, Docusign e-signature, Docusign CLM (or similar contract lifecycle management system), Box, and Smartsheet.
  • Understanding of contract law, including key terms and legal implications.
  • Knowledge of industry-specific regulations relevant to vendor contracts.
  • Experience with AI-powered legal tools and contract review platforms, including the use of playbooks to standardize contract analysis, identify risks, and accelerate review workflows.
