Join Toshiba America Business Solutions as a Contract Attorneyย in Lake Forest, CA

What You'll Do

  • Review RFx, contracts and security questionnaires or related documents
  • Conduct legal/regulatory research and prepare concise business-facing summaries on evolving SaaS/cloud, AI, data privacy, public procurement and data-use requirements affecting bids, contracts and customer obligations
  • Support contract and RFx review by identifying legal, regulatory, and compliance obligations, such as data privacy, AI, audit, liability and flow-down terms; flag issues for Legal and business stakeholders using consistent intake and escalation practices
  • Draft, organize and maintain Legal-approved standard clauses, fallback language, templates, playbooks, matrices and issue trackers to promote scalable, consistent contracting across enterprise and public sector markets
  • Partner with Legal, Sales, Finance, IT/Security, Operations and BPCC team members to translate approved legal guidance into operationally usable contract language and program-level details that support deal execution and audit readiness
  • Monitor marketplace/customer requirements and support continuous improvement of contract frameworks, bid responses, controls and documentation for traceability, repeatability and defensibility
  • Perform other related duties as assigned.

What Youโ€™ll Bring

  • Juris Doctor Degree from an ABA accredited law school required. Must be a member of at least one state bar association (California preferred)
  • Demonstrated Ability
    • Apply legal training to research, issue spotting and legal-approved contract support in a business setting.
    • Legal and regulatory research; ability to analyze and summarize statutes, regulations, frameworks and
      customer requirements for business audiences.
    • Contract review support for SaaS, cloud and third-party technology requirements, including but not limited to analysis of AI, data privacy, data residency, auditability, and liability allocation.
    • Supporting legal, bid/RFP and contract/compliance actions for commercial and public sector procurement; ability to identify mandatory terms, flow-downs, and compliance obligations.
    • Drafting and maintaining Legal-approved clauses, playbooks, fallback positions, templates, risk notes and
      contract negotiation aids
  • Strong writing, issue spotting, organization, research judgment, attention to detail and cross-functional communication.
  • Working knowledge of common privacy/data protection concepts, AI accountability, audit controls and risk management.
  • Proficiency with Microsoft 365 tools; ability to maintain trackers, research matrices and organized contract
    documentation.
