Job Summary and Qualifications

The Senior Technology Counsel is a strategic partner to the enterprise, serving as a legal advisor on technology, data, information security, and intellectual property matters. This role exists to help HCA thoughtfully innovate in a legal and compliant manner in a fast-moving, technology-driven healthcare environment while protecting our intellectual property and data.

  • Serve as legal counsel on technology and intellectual property matters.
  • Provide practical, business-focused advice on technology, information security/protection, data use, and IP issues.
  • Review, draft, and negotiate a wide range of technology-related contracts (including SaaS, cloud, software, data, and services arrangements).
  • Stay current on evolving intellectual property, data protection, and cybersecurity related laws and regulations and translate them into clear, actionable guidance for the business.
  • Advise on IP and data protection strategy, including ownership, licensing, open source, patents, and data/information protection, and help embed protection into business operations and innovation.
  • Lead negotiations on complex legal and risk allocation issues with external parties and outside counsel.
  • Interpret and advise on provisions in previously executed technology and data-related agreements.
  • Partner with and counsel all HCA entities - both in customer and vendor roles - to enable technology-driven initiatives while protecting the organization.

Qualifications:

  • 10+ years of practicing attorney experience required, with in-house experience preferred
  • Cloud services, SaaS or software licensing experience required
  • HIPAA and Healthcare industry experience preferred
  • Ability to effectively communicate across all levels of the organization
  • Admitted to Tennessee bar or qualified to work in-house, or eligible to do so in Tennessee
  • Juris Doctorate from an ABA accredited law school
