Position: Corporate & M&A Attorney


Type: Contract


Compensation: $140–$400/hour

About the Opportunity

This opportunity is for experienced Corporate and M&A Attorneys with expertise in mergers and acquisitions, corporate transactions, contract drafting, due diligence, corporate governance, and transactional law to contribute to advanced AI research and evaluation projects.

In this role, you'll apply your legal expertise to evaluate AI-generated legal analyses, transaction structures, corporate agreements, and M&A recommendations. Your work will help improve the legal reasoning, accuracy, analytical capabilities, and reliability of next-generation AI systems.

No prior AI experience is required. Your corporate law expertise, transactional experience, legal judgment, and analytical skills are the primary qualifications for success.

Responsibilities

  • Evaluate AI-generated corporate and M&A legal analyses for accuracy, completeness, and legal reasoning.
  • Review and analyze merger agreements, acquisition agreements, purchase agreements, shareholder agreements, and other corporate documents.
  • Assess complex M&A transactions, corporate restructurings, joint ventures, investments, and strategic transactions.
  • Apply expertise in corporate law, securities regulations, transaction structures, and corporate governance.
  • Review AI-generated interpretations of transaction terms, contractual provisions, and legal risks.
  • Identify legal errors, unsupported conclusions, missing considerations, and reasoning gaps in AI-generated outputs.
  • Evaluate due diligence findings, transaction risks, representations and warranties, indemnification provisions, and closing conditions.
  • Provide clear, structured feedback to improve AI legal reasoning and transactional analysis.
  • Develop or apply structured legal evaluation frameworks and assessment criteria.
  • Translate complex corporate and transactional concepts into clear documentation for AI training and evaluation.

Required Qualifications

  • Juris Doctor (JD), LLB, or equivalent law degree.
  • Licensed and qualified to practice law in a relevant jurisdiction.
  • Professional experience in corporate law, M&A, transactional law, corporate development, or related legal practice.
  • Strong expertise in mergers and acquisitions, corporate transactions, contract drafting, and legal due diligence.
  • Experience reviewing and negotiating complex commercial and corporate agreements.
  • Strong understanding of corporate governance, securities law, transaction structures, and regulatory considerations.
  • Excellent legal research, analytical reasoning, and problem-solving skills.
  • Exceptional attention to detail and ability to identify subtle legal and contractual issues.
  • Strong written and verbal communication skills.
  • Ability to work independently in a fully remote environment.

Preferred Qualifications

  • Advanced experience with cross-border M&A transactions, private equity transactions, venture capital, corporate restructurings, or strategic investments.
  • Experience at a major law firm, corporate legal department, investment bank, private equity firm, or similar organization.
  • Experience drafting and negotiating SPAs, merger agreements, shareholder agreements, joint venture agreements, and other transactional documents.
  • Strong knowledge of securities regulations, antitrust considerations, tax implications, and regulatory requirements related to corporate transactions.
  • Experience advising executive teams, boards of directors, investors, or senior stakeholders.
  • Experience with AI, machine learning, legal technology, NLP, or AI model evaluation.
  • Experience working with cross-functional, international, or multidisciplinary teams.
