Reporting intotheLegaldepartment, this role partners closely with HR, Payroll, Tax, Accounting, and external vendors. It is highly hands-on,providing regular exposure to theC-Suite and Board of Directors. Key Responsibilities

Equity Plan Administration

  • Manage the full lifecycle ofglobalequity awards:grant setup, vesting, releases, cancellations, terminations/retirement, and quarterly dividendsacross multiplejurisdictionsand equity structures.

  • Actas a trusted, accessiblestock planexpertto all levels of the organization,including executives and board members,providingsupportand addressing inquirieswith clarity,accuracy,and timeliness.

  • Exercise sound judgment to resolve complex stock plan participant matters and address evolving stock plan provisions, balancing businessneedsand employee experience considerations.

  • Maintain andoptimizeequity management systems (currentlyEquity Edge Online, E*TRADE).

  • Lead strategic vendor relationships, such aswithE*TRADEand outside counsel, evaluating service qualityand ensuring external partners effectively support Prologis' equity strategy.

  • Prepare,fileandmanageSECinsider ownership disclosures, including Forms 3, 4, and5.Serve as a trusted advisor to executives and directors on insider ownership reporting obligations,providing guidance onreporting requirements anddisclosuretiming considerations.

  • Prepare and reviewstock planparticipant communications, statements, and educational materials, ensuring clarity and comprehension across diverse participant groups.

  • Monitor insider trading compliance and manage blackout periods.

  • Reconcile equity data across Workday, equity platforms, and transfer agents.

  • Supportaudit and periodicreporting functions.Ensure data integrity and accuracy across all systems and reporting outputs.

  • Onboard officers and directors usingtheEDGAR Nextplatform.

  • Willingness toleveragePrologis'AI resources toidentify,evaluate,anddevelopAI-enabled tools and automation solutionsto improve efficiencywithin equity administration processes.

  • Partner with cross-functional stakeholders across Legal, HR, Payroll, Tax, and Financedepartmentsto advance shared programobjectivesand ensure coordinated, well-integrated outcomes.

  • Mentor and developstock plan colleagues,fostering a collaborative culture whereexpertiseis shared generously and professional development is actively supported.Buildstock planteam capabilities, helping colleagues deepen their understanding of equity administration processesandbest practices.

Qualifications

  • Bachelor's degree inFinance, Accounting, HR, orarelatedfield.

  • 7+ years of experience in stock plan administration, including direct experience with complexequity programs.

  • Strong knowledge of equity plan structures (RSUs, PSUs,etc.).

  • Demonstrated ability to advise senior executives, board members, and cross-functional leaders on equity,reporting/compliance, and participant matters.

  • Experience with equity platforms such as Equity Edge Online/E*TRADE (or equivalent); familiarity with Workday, DFINplatform (Donnelley Financial Solutions), EDGAR Next, and Docusign is a plus.

  • Advanced Excel skills, includingmonthlyreconciliationand data validation.

  • Comfortable seeking toleverageAI toolsand emerging technologies tooptimizeworkflowsand drive process efficiencies.

Preferred Qualifications

  • Experience with Equity Edge Online/E*TRADEspecifically.

  • Experience supporting global equity programs across multiplejurisdictions.

  • Experience preparing and filing Forms 3, 4, and 5 with the SEC.

  • Familiarity with HRIS and payroll integrations (e.g., Workday).

  • Certified Equity Professional (CEP) designationor working towards.

  • Experience mentoringanddeveloping colleagues.

  • Demonstrates willingness and capability to leverage emerging technology, automation, and AI tools to improve efficiency, quality, and speed. Exercises sound judgment, creative thinking, and accountability for outcomes
  • Hiring Salary Range of:$156,000 -$196,000 . Salary and whole compensation package (bonus target & LTI (Long Term Incentives) to be determined by the candidate's location, education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data
