Job description

Senior Commercial CounselRole Overview

As we scale Cyclops and expand our client, partner, and licensing footprint, we are hiring a Senior Commercial Counsel to own commercial legal work, along with a mix of corporate and compliance support, to help the company move quickly without taking on unnecessary risk.

This is a hands-on, commercially focused legal role reporting directly to the Co-Founder & President (himself an attorney and acting CLO). You will be the go-to legal partner for the deals and relationships that drive the business, drafting and negotiating the agreements that bring on clients, partners, and vendors, while also supporting corporate matters and the licensing and compliance obligations that come with operating a regulated stablecoin infrastructure company. 

You will juggle priorities independently, work directly with all Cyclops teams and external parties, exercise sound judgment on when to escalate, and keep the President informed through weekly (and ad hoc) updates on deals in progress and key legal matters.

Key Responsibilities 

Commercial (Primary Focus):

  • Draft, review, and negotiate a broad range of commercial agreements, including client, partner, and vendor contracts, and intercompany agreements.
  • Serve as the primary legal point of contact for commercial deals from term sheet through signature, and beyond.
  • Build and improve templates, playbooks, and processes to help the business move faster and contract more consistently.
  • Partner with commercial, product, and leadership teams to identify legal risk early and offer pragmatic, business-minded solutions.
  • Work alongside sales and client service teams to help close deals, e.g., by addressing concerns of legal, compliance, security teams at clients and prospective clients.

Compliance & Regulatory:

  • Support the company's regulatory and licensing requirements connected to our U.S. (MTL/MSB, Bitlicense, etc.) and EU (MiCA, PSD2) authorizations, working alongside compliance colleagues.
  • Advise on compliance matters in a range of topics including data privacy (e.g., GPDR), AML/sanctions, Travel Rule, marketing, employment law, tax law, etc. (leveraging outside counsel where required).
  • Help translate regulatory obligations into practical guidance and contract terms for internal teams, including Cyclops’ product teams.

Corporate:

  • Support corporate governance and entity matters, including preparing board materials, assisting with equity and option grants, financing support, etc.
  • Handle general corporate housekeeping and maintain corporate records.
  • Manage work by outside counsel efficiently — scoping work, controlling spend, and owning the relationship.
Required Qualifications 
  • A law degree (JD or equivalent) and admission to practice (or in good standing) in a relevant jurisdiction.
  • 5–8 years of relevant legal experience, in-house or at a reputable law firm (a combination of both is a plus).
  • Strong commercial contracting experience — you are comfortable owning negotiations and drafting across client, partner, and vendor agreements independently.
  • Working knowledge of corporate matters (governance, board materials, equity/options) and comfort supporting compliance and licensing obligations.
  • Familiarity with crypto and/or payments — you understand the products, the counterparties, and the regulatory context these businesses operate in.
  • Sound judgment and a practical, risk-weighted approach; you know the difference between a real risk and a theoretical one.
  • Clear communication and the ability to give crisp, actionable advice to non-lawyers.
  • Comfort working autonomously in a remote, fast-paced, early-stage environment — running your own docket and keeping leadership informed without close supervision.
Preferred Experience
  • Direct experience with money transmission (MTL/MSB) and/or MiCA regulatory regimes.
  • Exposure to stablecoins, digital assets, or payments infrastructure.
  • Experience being an early or first legal hire and building processes from scratch.
  • Support-level familiarity with licensing applications and regulatory engagement.

You will report directly to the Co-Founder & President (himself an attorney and acting CLO).
