Job Description:

We are seeking an experienced Senior Corporate Paralegal to lead and support the management of a large portfolio of U.S. and international legal entities for a global aerospace and defense company. This is more than a maintenance role; it is an opportunity for someone who enjoys solving complex problems, implementing leading practices, and helping to build a best-in-class corporate governance and entity management program. As part of the Legal Operations function, this role will support corporate governance, entity maintenance, regulatory compliance, and corporate records across multiple jurisdictions. This individual will also play a key role in strengthening and modernizing our entity management function by assessing current processes, enhancing the quality and integrity of entity data, and developing standardized, scalable practices that will support the business over the long term.

This position is ideal for an experienced corporate paralegal who enjoys transforming complex entity portfolios, leveraging technology to improve governance, and creating sustainable processes in a large, global organization.


Essential Functions:ย 

  • Manage the governance and compliance of a large portfolio of U.S. and international legal entities.
  • Prepare, review, and maintain articles of incorporation, bylaws, board and shareholder resolutions, officer appointments, powers of attorney, annual reports, and other corporate governance documents.
  • Coordinate entity formations, dissolutions, mergers, acquisitions, restructurings, divestitures, and post-acquisition integrations.
  • Ensure compliance with federal, state, and international corporate filing and governance requirements.
  • Partner closely with Legal, Finance, Tax, Treasury, Compliance, and business leaders to ensure legal entities remain compliant and properly governed.
  • Manage relationships with outside counsel, registered agents, and foreign service providers across multiple jurisdictions.
  • Maintain and enhance the company's corporate records and entity management database.
  • Utilize CSC Navigator to manage entity data, corporate records, compliance calendars, governance documents, and filing requirements.
  • Conduct audits of entity records and identify opportunities to enhance governance, compliance, and data integrity..
  • Lead remediation and continuous improvement efforts to strengthen data accuracy, enhance corporate records, and support a well-governed entity portfolio.
  • Develop, document, and implement standardized policies, procedures, and governance best practices that improve efficiency, reduce risk, and enhance compliance.
  • Drive continuous improvement initiatives that transform entity management into a strategic, well-governed function.

Qualifications:

  • Bachelor's Degree and minimum 6 years of prior relevant experience. Graduate Degree and a minimum of 4 years of prior related experience. In lieu of a degree, minimum of 10 years of prior related experience.
  • Minimum 6 years experience as a corporate paralegal supporting complex U.S. and international legal entity portfolios.


Preferred Additional Skills:

  • Demonstrated expertise in corporate governance, entity lifecycle management, and domestic and international compliance requirements.
  • Advanced proficiency with CSC Navigator, including entity management, corporate records, governance workflows, compliance tracking, and reporting.
  • Experience maintaining the integrity of entity data, conducting audits of corporate records, and leading large-scale data cleanup and remediation projects within CSC Navigator.
  • Experience supporting mergers, acquisitions, restructurings, legal entity rationalizations, and other complex corporate transactions.
  • Demonstrated ability to identify process inefficiencies and implement practical, sustainable improvements.
  • Excellent organizational, analytical, and project management skills with exceptional attention to detail.
  • Strong written and verbal communication skills and the ability to collaborate effectively across multiple business functions.
  • Ability to manage competing priorities independently while exercising sound judgment and maintaining confidentiality.
  • Experience supporting a large, multinational aerospace and defense company or another highly regulated global organization.
  • Proficiency with CounselLink, including invoice review and matter creation.
  • Familiarity with the governance, regulatory, and compliance requirements applicable to U.S. government contractors.
  • Experience working with complex multinational corporate structures spanning numerous domestic and international jurisdictions.
  • Experience implementing or optimizing entity management systems and corporate governance processes.
  • Bachelor's degree and/or Paralegal Certificate from an ABA-approved program.

In compliance with pay transparency requirements, the salary range for this role in California, Massachusetts, New Jersey, Washington, and the Greater D.C, Denver, or NYC areas is $91,500-$170,500. The salary range for this role in Colorado state, Hawaii, Illinois, Maryland, Minnesota, New York state, and Vermont is $79,500-$147,500. This is not a guarantee of compensation or salary, as final offer amount may vary based on factors including but not limited to experience and geographic location.
