ABOUT THE ROLE

Primum Law Group is a corporate law firm that serves small and midsize businesses, including tech startups and companies in transition, helping them to make right business decisions with minimum legal risks possible. We empower business owners and executives to reach their goal by providing the support they need. We are looking for a Corporate Attorney who wants to contribute to something bigger than them, interested in building connections with clients, leadership team, and genuinely enjoys being a trusted business partner to entrepreneurial clients.

This is a remote role with real responsibility. You will own client relationships, lead transactions, and have direct visibility into the firmโ€™s work. If you are looking for meaningful work without the bureaucracy of a large firm, this is worth your attention.

WHAT YOU'LL DO

  • Advise clients on corporate governance, board matters, shareholder issues, and regulatory compliance.
  • Support capital raising efforts, including venture financing, private placements, and debt transactions.
  • Handle securities law matters and assist with regulatory filings.
  • Advise on executive compensation, equity plans, and equity compensation.
  • Manage client relationships and serve as a day-to-day legal resource for assigned clients.
  • Lead and support M&A transactions, including due diligence, structuring, and drafting purchase agreements.
  • Coordinate with paralegals, tax specialists, and foreign counsel on complex matters.
  • Track billable hours, prepare invoices, and manage case files in MyCase.

WHAT WE'RE LOOKING FOR

  • J.D. from an accredited law school.
  • Active bar admission in California (required).
  • 5+ years of legal experience, with at least 2 years advising startups as outside counsel or in-house.
  • Solid foundation in startup law, venture financing, and corporate governance.
  • Experience with international companies and cross-border transactions is a strong plus.
  • Excellent legal drafting and negotiation skills.
  • Business-oriented mindset โ€” you translate legal complexity into practical advice.
  • Self-directed and organized, with the ability to manage multiple client matters simultaneously.
  • Available Monday through Friday, 8:00 AM โ€“ 5:00 PM PST.
