What We Are Looking For:  


Aspida is seeking an experienced Paralegal to join its Legal & Compliance team. This role will support the General Counsel and in-house legal team across a range of corporate legal matters, with a primary focus on corporate governance, corporate transactions, and insurance regulatory compliance. The ideal candidate brings hands-on law firm experience in a corporate or transactional practice and is eager to apply that expertise in a fast-moving, technology-driven insurance environment.


Just as important as technical legal skills is mindset. We are looking for someone who is genuinely curious, self-motivated, and excited about the ways artificial intelligence is reshaping how legal work gets done. This person will proactively identify opportunities to deploy AI tools to streamline processes, reduce manual effort, and free up capacity for higher-value work - and will bring that same energy to every aspect of the role.  This role reports to the Chief Legal Officer and is required to be onsite at our Durham office 3 days a week. 

What You Will Do:

Corporate Governance


Maintain and organize corporate records, including entity formation documents, board and committee minutes, resolutions, and organizational charts for Aspida's domestic and international subsidiaries

Coordinate and prepare materials for board of directors and committee meetings, including drafting agendas, minutes, and written consents

Manage annual compliance filings, registered agent relationships, and state qualification requirements across multiple jurisdictions

Support the maintenance of corporate subsidiary structure, including tracking ownership, capitalization, and regulatory licensing


Mergers & Acquisitions; Financing Transactions


Assist with due diligence in transactions, including organizing and reviewing data room materials, preparing due diligence checklists, and summarizing findings

Draft and review ancillary transaction documents such as closing checklists, certificates, consents, and assignment agreements

Coordinate closing logistics including document execution, regulatory approvals, and post-closing integration tasks

Maintain transaction files and closing binders in an organized, audit-ready manner


Insurance Regulatory & General Legal Support


Support insurance regulatory filings and correspondence with state departments of insurance in collaboration with compliance and outside counsel

Conduct legal research and prepare summaries on corporate, insurance, and transactional matters

Manage outside counsel relationships, including coordinating matters, reviewing invoices, and tracking engagement letters

Assist with contract review, routing, and tracking through the company's contract management system

Requirements

What We Require: 


3-7 years of paralegal experience at a law firm, with a focus on corporate, M&A, or transactional matters

Demonstrated experience supporting corporate governance functions, including subsidiary management and board administration

Prior experience in the Raleigh-Durham or Charlotte, NC legal market preferred

Genuine curiosity and a proactive mindset - someone who identifies problems and pursues solutions without waiting to be asked

Demonstrated interest in or hands-on experience deploying AI tools (e.g., contract review platforms, legal research AI, document automation) to improve efficiency and quality of legal work

Strong organizational skills with the ability to manage multiple matters and deadlines simultaneously

Proficiency with legal technology tools such as iManage, Diligence, or similar document management and virtual data room platforms

Excellent written and verbal communication skills

Bachelor's degree required; Paralegal Certificate from an ABA-approved program strongly preferred


Preferred Qualifications


Experience working with or within an insurance company, financial services firm, or similarly regulated industry

Familiarity with insurance regulatory filings (e.g., NAIC filings, state licensing)

NALA Certified Paralegal (CP) or NFPA PACE certification

Experience with Datasite, Intralinks, or similar M&A data room platforms
