Direct Counsel is representing a highly regarded Am Law 100 firm seeking a Mid-Level Corporate Associate (Mergers & Acquisitions)

Position: Associate – Corporate (M&A)
Location: D.C. and Northern Virginia
Compensation: $260,000 - $380,000 per year with full benefits package.

Position Summary:
This is an excellent opportunity for a mid-level associate (4–6 years) to join a leading Corporate Practice in the Mergers and Acquisitions group. The Corporate Associate will work across diverse industries including healthcare, technology, infrastructure, insurance, education, manufacturing, retail, hospitality, and financial services, leveraging a global platform to deliver seamless, full-service counsel.

Key Responsibilities:

  • Draft, review, and negotiate transaction documents such as letters of intent, asset purchase agreements, stock purchase agreements, and merger agreements.

  • Manage due diligence processes, including review of contracts, corporate records, and regulatory filings.

  • Collaborate with colleagues in tax, regulatory, finance, and litigation on transaction-related issues.

  • Participate in client meetings and calls, providing legal and strategic input.

  • Assist with closing processes, including preparation of deliverables and post-closing obligations.

Qualifications:

  • Juris Doctor (J.D.) from an accredited law school.

  • Admission to the Florida Bar, or willingness to gain admission promptly.

  • 4–6 years of substantive M&A and general corporate experience with a national or regional law firm.

  • Strong drafting, negotiation, and project management skills.

  • Ability to work independently and as part of a team in a high-volume practice.

  • Demonstrated success in a fast-paced, team-oriented environment.

Preferred Qualifications:

  • Experience with cross-border transactions.

  • Familiarity with private equity transactions.

  • Comfort working directly with clients and managing multiple deals simultaneously.
