A Day In The Life:
We are seeking an experienced Associate General Counsel with 10-15 years of legal expertise to deliver strategic legal support across multiple areas, including commercial contracting, mergers and acquisitions, regulatory compliance, and corporate governance. This role is responsible for leading and managing a team of attorneys and legal professionals, ensuring the delivery of high-quality legal support that aligns with the organization's business objectives. The successful candidate will act as a trusted advisor to senior leadership and play a significant role in the development of legal talent, the improvement of legal processes, and the establishment of best practices.
What You'll Be Doing:
Commercial Agreements
- Draft, review, negotiate, and interpret complex commercial agreements, including those with customers, vendors, suppliers, for supply, distribution, and logistics.
- Provide practical, risk-based legal advice on topics such as liability allocation, indemnities, confidentiality, termination rights, and dispute resolution.
- Develop and oversee standard templates, negotiation playbooks, and contracting workflows to ensure efficiency and consistency.
- Serve as an escalation point for complex or high-risk commercial matters that require advanced legal expertise.
Mergers & Acquisitions / Strategic Transactions
- Lead or support domestic and cross-border mergers, acquisitions, divestitures, joint ventures, and strategic investments.
- Oversee legal due diligence processes and implement mitigation strategies to address identified risks.
- Draft and negotiate transaction and ancillary agreements to ensure favorable terms and legal protection.
- Manage and coordinate external counsel engaged in strategic transactions.
Regulatory Compliance
- Advise on regulatory and compliance matters affecting commercial operations.
- Collaborate with compliance, risk, and business teams to identify and manage legal risks.
- Support the development and implementation of internal compliance policies and training initiatives.
Corporate Governance
- Provide guidance on corporate governance, including board resolutions, charters, and policies.
- Support subsidiary governance and corporate records management to ensure regulatory compliance.
- Assist with governance-related disclosures as required by law or organizational policy.
People Management & Leadership
- Lead, manage, and mentor attorneys and legal professionals, fostering a culture of excellence.
- Direct workload prioritization and support professional development for members of the legal team.
- Conduct performance reviews and assist with succession planning to ensure organizational continuity.
- Promote consistent legal standards and encourage continuous improvement within the legal department.
Strategic Legal Advisory
- Act as a trusted advisor to senior leadership, providing proactive guidance on legal risks and opportunities.
- Contribute to the strategy and operations of the legal department, ensuring alignment with organizational goals.
Skill/Experience Requirements:
- Juris Doctor (J.D.) from an accredited law school.
- Active U.S. law license.
- 10-15 years of commercial and transactional legal experience, preferably combining law firm and in-house roles.
- Experience in agribusiness or multinational environments preferred.
- Demonstrated experience in managing legal teams.
- Strong skills in drafting, negotiation, communication, and leadership.
- Collaborative leadership style.
- Sound judgment, integrity, and strong attention to detail.
- Ability to manage competing priorities effectively.
