Corporate M&A Associate (4+ Years) – Phoenix, AZ

Direct Counsel is representing an AmLaw 100 firm seeking a talented Corporate M&A Associate to join its growing Phoenix office. This is an excellent opportunity to work on sophisticated mergers and acquisitions and complex corporate transactions within a collaborative national platform.

Key Responsibilities
  • Draft and negotiate definitive and ancillary transaction documents for mergers and acquisitions and joint ventures

  • Manage due diligence processes and coordinate transaction workflows

  • Advise clients on a broad range of corporate matters, including financings, entity formation, governance, and commercial agreements

  • Work closely with partners and clients throughout the full lifecycle of transactions

  • Handle multiple matters simultaneously while taking on increasing responsibility and client interaction

Qualifications
  • J.D. from an accredited law school with strong academic credentials

  • 4+ years of transactional experience with a focus on M&A and complex corporate transactions

  • Experience drafting and negotiating transaction documents and managing due diligence processes

  • Strong drafting, analytical, and communication skills

  • Ability to manage multiple projects in a fast-paced environment

  • MBA or background in finance or accounting preferred

  • Arizona Bar admission required
