About the Role

Momentum is aย fast-growing,ย mid-sized, digital commerce companyย dedicated to building responsible, data-driven platforms and solutions that power the future of digital commerce. We are seeking an experiencedย Senior Counsel to join our Legal team in New York City.

This is a senior commercial legal role within Momentum's Legal Department, serving as the lead legal advisor on complex commercial transactions, primarily supporting PMG, one of our portfolio companies.ย  PMG is a leading independent digital marketing and technology company that partners with many of the world's most recognized brands to deliver integrated media, creative, technology, and commerce solutions.

The role combines sophisticated commercial contracting with strategic legal counseling, partnering closely with other members of the Legal Department's Contracts Team and business leaders to structure and execute high-value client relationships while helping scale the Legal Department's commercial contracting function.

The ideal candidate brings deep experience negotiating agreements with Fortune 500 companies, strong commercial judgment, international contracting exposure, and a collaborative, solutions-oriented approach.ย Experience working in advertising, social media, and digital media environments is strongly preferred.

This position is based in our New York City office and requires in-office attendance a minimum of three days per week, plus inter-office travel as required.

Key Responsibilities

Commercial Contracting & Negotiation

  • Lead end-to-end negotiation, drafting, and execution of complex and high-value agreements (e.g. client-facing Master Services Agreements), while owning deal strategy and execution.
  • Serve as the lead legal advisor on complex commercial transactions, partnering directly with PMG's senior business leaders to help develop deal structures, negotiation strategy, and practical legal and commercial risk assessments to help achieve business objectives.
  • Act as the escalation point for complex contractual issues and provide practical, business-oriented solutions.

Contract Operations & Process Improvement

  • Establish and refine contract playbooks, templates, fallback positions, and negotiation frameworks to improve consistency, scalability, and efficiency.
  • Partner with other members of the Legal Department's Contracts Team to enhance Contract Lifecycle Management (CLM) processes, reporting, and technology-enabled workflows, leveraging platforms such as Ironclad to improve efficiency and transparency.
  • Identify opportunities to streamline the contracting processes while maintaining appropriate legal controls and supporting business growth.
  • Analyze recurring negotiation trends and risk patterns and work collaboratively with the Legal Department to implement operational improvements.

Cross-Functional Partnership

  • Collaborate effectively across business, operational, tax, IT, security, privacy and legal stakeholders in the U.S. and internationally.
  • Build trusted relationships with teams across the organization and serve as a strategic advisor on commercial contracting matters.
Qualifications

Required

  • 7+ years of experience negotiating and managing complex commercial contracts. Experience working in advertising, social media, and digital media environments is strongly preferred.
  • Significant experience negotiating enterprise-level client agreements, including Master Services Agreements (MSAs) and Statements of Work (SOWs).
  • Experience negotiating with Fortune 500 clients and other sophisticated enterprise organizations.
  • Strong commercial judgment and demonstrated ability to balance business objectives with legal and contractual risk.
  • Exceptional stakeholder management, negotiation, and communication skills.
  • Highly collaborative, process-oriented, and solutions-focused approach.
  • Willingness to collaborate effectively with stakeholders across multiple offices, regions, and time zones in a highly cross-functional environment.
  • Juris Doctor (J.D.) from an accredited law school and active bar membership in at least one U.S. jurisdiction (or eligibility to register as an in-house counsel in New York) strongly preferred.ย  Candidates with equivalent commercial contracting experience will also be considered.

Preferred

  • Experience in advertising, social media, digital media, or related industries.
  • Experience supporting commercial agreements in both U.S. and international markets, particularly the U.K.
  • Experience with Contract Lifecycle Management (CLM) platforms, preferably Ironclad.
  • Experience in high-growth or rapidly scaling organizations.

The base salary range for this position may vary based on location. Actual compensation will be determined by role, level, and location, considering additional factors such as job-related skills, experience, and relevant education or training. In addition to the base salary, candidates may be eligible to receive a discretionary annual bonus, determined based on both the company's business performance and individual contributions.
