Corporate Transactions Mid-Level Associate Attorney

Direct Counsel is seeking a Corporate Transactions Mid-Level Associate Attorney to join a highly regarded Am Law 100 firm in Atlanta, Georgia or Chicago, Illinois.

This is an excellent opportunity for an attorney with 3–4 years of corporate transactional experience to join a nationally recognized practice representing public and private companies, private equity sponsors, and strategic investors in sophisticated mergers and acquisitions and other complex business transactions.

Key Responsibilities
  • Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions.

  • Draft, review, and negotiate purchase agreements, disclosure schedules, and ancillary transaction documents.

  • Conduct legal due diligence and assist in managing transactions from initial structuring through closing.

  • Advise clients on corporate governance matters and transaction-related legal issues.

  • Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions for complex transactions.

Qualifications
  • J.D. from an accredited law school with excellent academic credentials.

  • Active Bar membership in good standing.

  • 3–4 years of corporate transactional experience at a law firm.

  • Significant mergers and acquisitions (M&A) experience is required.

  • Strong drafting, negotiation, analytical, and organizational skills.

  • Excellent written, verbal, and interpersonal communication abilities.

  • Ability to manage multiple transactions in a fast-paced, collaborative environment.
