The Role:

As we continue our rapid expansion, we are seeking a hands-on, business-minded General Counsel to serve as a trusted strategic advisor to executive leadership and build the scalable legal infrastructure that will support our next stage of growth. This is not a traditional “block and tackle” legal role — we need an attorney who can personally handle title work, complex real estate contracts, active litigation response, multi-state employment matters, regulatory compliance (including real estate commissions and marketing laws), and still provide high-level strategic counsel.


Key Responsibilities:
  • Directly review, negotiate, and draft purchase agreements, assignment contracts (wholesaling), joint venture agreements, profit splits, lending and security documents, escrow instructions, powers of attorney, guarantees, hold harmless agreements, and related transaction documents across multiple states.
  • Lead title examination and curative work for off-market and distressed properties — identifying title defects, clouds on title, lien issues, probate/heirship complications, HOA matters, and other common obstacles, then developing practical solutions in coordination with title companies and deal teams.
  • Advise on wholesaling operations, assignment strategies, transactional funding structures (FlipFund Capital), investment vehicles, and compliance with state-specific real estate regulations, licensing requirements, and brokerage laws in Florida, California, North Carolina, and Colorado.
  • Support title, escrow, and closing operations to ensure deals close efficiently while protecting the company’s interests and reputation.
  • Serve as the primary in-house point of contact for all disputes, demand letters, claims, and active litigation matters.
  • Draft responses to demand letters, coordinate litigation strategy with outside counsel, manage discovery, oversee case progress, and drive matters to efficient resolution.
  • Develop proactive strategies to minimize legal exposure while enabling aggressive business growth and protecting proprietary assets (trade secrets, buyer/seller lists, internal systems and dashboards).
  • Manage outside counsel relationships efficiently and cost-effectively; provide clear direction and business context to ensure alignment with company objectives.
  • Draft, review, and negotiate employment agreements, independent contractor (1099) agreements, commission and bonus structures, equity/profits interest grants, and restrictive covenant agreements (non-compete, non-solicit, confidentiality) — with careful attention to enforceability across Florida, California (strict limitations), North Carolina, and Colorado.
  • Advise leadership on employee relations, investigations, performance management, terminations, workplace policies, and compliance with federal and multi-state labor and employment laws (FLSA, wage/hour, state-specific rules).
  • Ensure compliance with real estate commission and referral fee regulations; support the design and administration of internal commission plans for acquisitions and dispositions teams.

Regulatory Compliance, Licensing & Marketing Law
  • Ensure company-wide compliance with real estate brokerage, wholesaling, licensing, and commission laws across all operating states (FL, CA, NC, CO).
  • Oversee compliance with marketing and advertising regulations, including TCPA (Do Not Call), CAN-SPAM, state real estate advertising requirements, lead generation practices, and social media/content compliance.
  • Monitor regulatory changes affecting the business, develop internal policies and procedures, deliver training as needed, and implement scalable compliance processes.

Contracts, Templates & Legal Infrastructure
  • Draft, negotiate, and review contracts with vendors, partners, investors, lenders, and service providers.
  • Build and maintain a comprehensive library of standardized legal templates, playbooks, checklists, and approval workflows to support high-volume deal flow (hundreds of transactions annually) and enable team scalability across markets.
  • Develop efficient processes for contract review, approval, and execution that balance speed with appropriate risk management.

Corporate Governance, Strategy & Intellectual Property
  • Serve as the primary legal advisor to the CEO and executive leadership on strategic initiatives, acquisitions, partnerships, expansion plans, entity structuring, and major business decisions.
  • Advise on corporate governance, fiduciary responsibilities, and best practices as the company grows and evolves its corporate structure.
  • Protect the company’s trademarks, branding, proprietary systems, confidential information, trade secrets, and intellectual property portfolio.
  • Support investor relations and compliance matters, including K-1 reporting, investor agreements, and related fund/investment vehicle documentation (securities experience a plus but not required).

Qualifications:
  • Juris Doctor (JD) from an accredited law school.
  • Active member in good standing with at least one U.S. State Bar (Florida Bar membership or clear path to admission/reciprocity strongly preferred).
  • 7+ years of post-bar legal experience, with significant hands-on experience in real estate transactions and/or commercial litigation.
  • Deep expertise in real estate law, including title examination and curative work, purchase/sale agreements, assignment contracts, joint ventures, and lending documentation.
  • Demonstrated experience advising on multi-state employment matters, independent contractor compliance, and restrictive covenant enforceability (particularly California, Florida, North Carolina and Colorado).
  • Strong contract drafting and negotiation skills with a track record of building standardized templates and scalable processes.
  • Excellent business judgment and communication skills — able to balance aggressive growth objectives with prudent risk management.
  • Willingness to travel periodically to support teams and operations in California, North Carolina, and Colorado.
  • Prior in-house counsel experience at a real estate investment firm, property wholesaler, fix-and-flip, operator, private equity real estate vehicle, or high-growth real estate services/platform company.
  • Direct experience with real estate wholesaling operations, assignment contracts, distressed asset transactions, and/or transactional funding/hard money lending documentation.
  • Working knowledge of real estate brokerage, licensing, wholesaling regulations, and commission laws in Florida, California, North Carolina, and/or Colorado.
  • Hands-on litigation management experience, particularly trade secrets, unfair competition, contract disputes, or employment matters.
  • Experience in entrepreneurial, fast-paced, resource-constrained environments where the General Counsel is expected to be both strategic advisor and hands-on doer.
  • Familiarity with securities compliance for private placements or investor capital structures (helpful but not required).
