Job description

Associate General Counsel - M&A, Portfolio Operations Group


A key member of Hidden Harbor’s Portfolio Operations Group, the Associate General Counsel – M&A’s responsibilities will include, but will not be limited to:


  • Providing legal guidance and support to Hidden Harbor and portfolio company teams related to M&A matters and commercial contracts and tasks such as customer and vendor, employment, confidentiality, dispute management, and entity management matters
  • Reviewing, drafting, and negotiating a wide variety of contracts across multiple industries
  • Supporting General Counsel with developing, evaluating and implementing Legal Department and Hidden Harbor strategic priorities
  • Implementing policies and procedures to ensure legal and regulatory compliance across the organization
  • Coordinating platform and add-on transaction processes and legal post-closing integration workstreams


Qualifications

  • Juris Doctor (J.D.) degree from a top-tier law school; At least eight (8) years of relevant experience as a practicing attorney within an AMLAW 100 law firm and in-house corporate legal department with varying levels of responsibility
  • Membership in the Florida Bar and/or ability to obtain Florida Authorized In-house Counsel designation
  • Intimate knowledge of transaction documentation, such as purchase agreements, organizational documents, employment agreements, real property leases, and the due diligence process
  • Deep foundational knowledge of corporate law and an advanced understanding of the private equity model with the ability to comprehend the complexities of deal making, exits, and fund formations
  • Strong organizational skill set and can manage a M&A transaction to ensure an efficient process
  • Experience handling customer and vendor issues, compliance matters, employment topics, and post-closing integration
  • “No job is too big, and no task is too small” mentality
