Job description

Junior Corporate Associate Attorney

Direct Counsel is seeking a Corporate Associate Attorney to join a prestigious Am Law firm in San Francisco, CA.

This is an outstanding opportunity for an attorney with 1-2 years of general corporate experience to join a nationally recognized corporate practice. The successful candidate will advise emerging growth companies and other public and private businesses on a broad range of corporate transactions, including venture financings, mergers and acquisitions, and general corporate matters.

Responsibilities
  • Represent public and private companies in a variety of general corporate matters.

  • Advise emerging growth and high-growth companies throughout all stages of their business lifecycle.

  • Assist with venture capital and other financing transactions.

  • Support mergers, acquisitions, and other strategic corporate transactions.

  • Draft, review, and negotiate transaction documents and corporate governance materials.

  • Conduct legal due diligence and manage key aspects of transactions from inception through closing.

  • Collaborate with clients and attorneys on sophisticated corporate matters.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in a U.S. state bar.

  • 1-2 years of general corporate law experience.

  • Experience representing public and private companies.

  • Experience with venture financings, mergers and acquisitions, and general corporate matters.

  • Experience at a national or international law firm is strongly preferred.

  • Strong academic credentials and excellent drafting, analytical, negotiation, and communication skills.

Compensation & Benefits
  • Salary: $225,000-$235,000, commensurate with experience and qualifications.
