What you'll do

This position Director - Corporate Legal is a senior attorney in Docusign's corporate and securities function. This team partners with finance, accounting, IR, communications, HR and other key constituents to manage risk, meet Docusign's public company reporting requirements, plan and execute strategic transactions, advise our Board and executive management, deliver scalable legal support to our finance and treasury functions, and partner with Docusign's equity professionals to provide efficient and responsive stock plan administration. You will work closely with the attorneys and legal professionals in the Corporate and Securities group of our legal department, advising business and legal stakeholders and helping Docusign make informed, pragmatic, risk-weighted decisions on a range of issues, while also identifying opportunities to enhance corporate legal processes, scalability and efficiency.

This position is an individual contributor role reporting to the Senior Director & Deputy General Counsel, Corporate & Securities.

Responsibility

  • Serve as a trusted senior legal advisor to Corporate Development, Finance, Investor Relations, and other business teams on complex, high-impact matters, delivering practical, business-focused legal solutions

  • Lead and support M&A, strategic transactions, and related financings from diligence through closing and integration, including transaction structuring; drafting and negotiating definitive agreements; managing outside counsel; advising on integration-related legal, governance, and risk issues; and supporting strategic investments in partnership with Corporate Development and Finance teams

  • Partner with our Total Rewards team and independent compensation advisors to review and advise on executive compensation matters, including plan design, operation and related disclosure issues

  • Partner closely with our Stock team on equity-related matters, including equity plan administration, employment-related equity arrangements, ESPPs, and related disclosure issues, providing clear, risk-balanced guidance aligned with business objectives

  • Support Docusign's Board of Directors and executive management on broad range of corporate matters; plan, prepare and organize materials for meetings of the Board and Board committees

  • Advise on corporate and securities law matters for a public company, including the preparation and review of SEC filings (registration statements, Forms 10-K, 10-Q, 8-K, and Section 16 filings), disclosure controls and procedures, and compliance with stock exchange listing requirements

  • Plan and manage preparation of proxy statement and preparation and conduct of annual meeting

  • Partner with investor relations and communications teams on a range of IR and stockholder engagement matters, including investor presentations, quarterly earnings announcements, scripts and Reg FD considerations

  • Oversee corporate secretarial and entity management functions

  • Monitor and assess legislative and regulatory developments affecting the company, providing actionable guidance to internal stakeholders on risk, compliance and strategic implications

  • Demonstrate leadership within the legal team by collaborating with other attorneys, setting best practices, and contributing to the development of a collaborative, solutions-oriented legal culture

  • Plan and execute other corporate and other projects in partnership with the Deputy General Counsel and/or General Counsel

What you bring

Basic

  • Juris Doctor (JD) from an ABA-accredited law school

  • Active membership in good standing with at least one U.S. state bar

  • 15+ years of relevant experience, including experience at a major law firm and in-house

  • Experience with corporate law, corporate governance standards, and trends

  • Experience drafting, negotiating and leading strategic transaction documents

  • Experience with equity compensation plans and executive compensation

Preferred

  • Subsidiary corporate governance experience, including management of global subsidiaries and intercompany structures and agreements

  • Experience in-house for a technology company

  • Managerial experience in a legal department

  • Strong interpersonal skills, team-oriented attitude, and superior attention to detail

Wage Transparency

Pay for this position is based on a number of factors including geographic location and may vary depending on job-related knowledge, skills, and experience.

Based on applicable legislation, the below details pay ranges in the following locations:

California: $244,000.00 - $390,575.00 base salary

Illinois, Colorado, Massachusetts and Minnesota: $228,400.00 - $322,675.00 base salary

Washington, Maryland, New Jersey and New York (including NYC metro area): $228,400.00 - $344,575.00 base salary

Washington DC: $244,000.00 - $344,575.00 base salary

Ohio: $211,400.00 - $298,550.00 base salary 

This role is also eligible for the following:

  • Bonus: Sales personnel are eligible for variable incentive pay dependent on their achievement of pre-established sales goals. Non-Sales roles are eligible for a company bonus plan, which is calculated as a percentage of eligible wages and dependent on company performance.
  • Stock: This role is eligible to receive Restricted Stock Units (RSUs).
