Job Description/Responsibilities
The Paralegal - Corporate Governance supports corporate governance and legal entity management activities across the organization's domestic and international subsidiaries. This role is responsible for preparing governance documentation, maintaining corporate records, tracking compliance requirements, and coordinating across Legal, Tax, Finance, and Treasury to ensure timely and accurate execution of entity-related activities.
Key Responsibilities
  • Prepare and maintain corporate records, including minute books, resolutions, and governance documentation
  • Draft routine resolutions, minutes, and written consents using approved templates
  • Coordinate execution of documents and ensure fully executed copies are retained
  • Track statutory filing requirements and deadlines and coordinate completion with internal teams and external vendors
  • Maintain and update legal entity organizational charts based on information provided by stakeholders
  • Coordinate entity formations, dissolutions, and related changes with outside counsel and internal teams
  • Support due diligence, UBO, and KYC requests by gathering and organizing required information
  • Prepare documentation related to capital transactions and other governance matters using information provided by Finance, Tax, or Treasury
  • Maintain records of treasury and banking documentation, including credit agreements and authorizations

Qualifications/Requirements
Required
  • Bachelor's degree or equivalent experience in legal studies, business, or related field
  • 7+ years of experience in corporate governance
  • Strong organizational skills and attention to detail
  • Ability to manage multiple priorities and deadlines
  • Strong written communication skills

Preferred
  • Experience in a multinational organization
  • Experience working with entity management systems (e.g., Diligent, CSC Entity Manager)
  • Familiarity with Secretary of State filings and corporate compliance requirements across U.S. jurisdictions
  • Experience working with external vendors
