Job Description
The Associate General Counsel for Intellectual Property for Copyrights and Software Licensing will provide intellectual property advice and legal support to Lockheed Martin Corporation and serve as a point of contact within Lockheed Martin Space (Space) for IP-related legal support to all Space lines of business and functional organizations. The person filling this position will provide a full-range of intellectual property legal support and advise on legal issues related to government contracts and subcontracts, software licenses, commercial transactions, patenting, intellectual property-related litigation, and emerging issues in intellectual property. The successful candidate will create and provide guidance for all business areas on a comprehensive, company-wide approach to protecting Lockheed Martin's IP via copyrights, complying with applicable copyright laws, reviewing and approving third party software licenses, including open source software licenses, and will provide timely, accurate, and consistent intellectual property legal advice to enable the Space lines of business to achieve business goals while maintaining an acceptable level of risk. The successful candidate will work with key business leaders, including program personnel, and will be responsible for drafting and negotiating prime and subcontract intellectual property terms and conditions, non-disclosure agreements, complex intellectual property agreements, complex intellectual property rights provisions in teaming and other business agreements, and protection of data rights. This position is located in Littleton, CO with limited telework opportunities.
Position reports to the Director and Chief Intellectual Property Counsel for Copyrights and Software Licensing, Lockheed Martin Corporation.
Key Responsibilities:
• Assist with the creation and implementation of a comprehensive, company-wide approach to protecting the company's IP under copyright law, complying with applicable copyright laws, and reviewing and approving third party software licenses including open source software licenses while supporting business transactions and managing risk.
• Advise Space teams on IP-related legal issues, including government contracts, commercial transactions, mergers and acquisitions, emerging issues (e.g., artificial intelligence), and IP litigation.
• Interface with one or more Space line of business and customer executives, influencing and collaborating with Space program counsel in a team environment
• Support program leaders and Space program counsel with IP-related negotiations, including developing strategies to protect company IP.
• Ensure compliance with government contract law, Federal Acquisition Regulation, and relevant clauses (e.g., patent, technical data, and software rights).
• Apply business acumen, analytical, and problem-solving skills to manage risk and resolve complex IP issues.
• Demonstrate reliability, sound judgment, and a proactive approach to addressing IP challenges.
Basic Qualifications
• Juris Doctor (JD) degree from an accredited law school
• Admitted to practice law by one or more state bars and the US Patent & Trademark Office
• Minimum of 6 years of relevant experience in IP law, including copyright law, software licensing, and patent portfolio management
• Ability to distill complex legal issues into succinct, cohesive summaries
• Excellent writing and oral communication skills, with emphasis on attention to detail
• Ability to easily interface with and influence corporate and customer executives and collaborate with program counsel in a team environment
• Must be a U.S. Citizen - this position is located in a facility that may require special access
Desired skills
• Experience as an outside counsel, with an understanding of the IP landscape
• Experience with commercial IP transactions, IP terms in M&A transactions, trademark law, patent law, trade secret law, and IP litigation
• Experience in and fundamental understanding of IP-related clauses in government contracts, the Federal Acquisition Regulation, and the Defense Federal Acquisition Regulation Supplement, specifically, patent, technical data, and software rights
• Motivated self-starter who can lead, energize, and collaborate with cross-functional teams, taking responsibility for legal projects and working in a fast-paced environment with a high volume of work
• Must have or be able to secure a DoD top secret clearance

Work Schedule Information
Lockheed Martin supports a variety of alternate work schedules that provide additional flexibility to our employees. Schedules range from standard 40 hours over a five day work week while others may be condensed. These condensed schedules provide employees with additional time away from the office and are in addition to our Paid Time off benefits.
National Pay Statement
Pay Rate: The annual base salary range for this position in California, Massachusetts, and New York (excluding most major metropolitan areas), Colorado, Hawaii, Illinois, Maryland, Minnesota, New Jersey, Vermont, Washington or Washington DC is $156,400 - $275,655. For states not referenced above, the salary range for this position will reflect the candidate's final work location. Please note that the salary information is a general guideline only. Lockheed Martin considers factors such as (but not limited to) scope and responsibilities of the position, candidate's work experience, education/ training, key skills as well as market and business considerations when extending an offer.
Benefits offered: Medical, Dental, Vision, Life Insurance, Short-Term Disability, Long-Term Disability, 401(k) match, Flexible Spending Accounts, EAP, Education Assistance, Parental Leave, Paid time off, and Holidays.
(Washington state applicants only) Non-represented full-time employees: accrue at least 10 hours per month of Paid Time Off (PTO) to be used for incidental absences and other reasons; receive at least 90 hours for holidays. Represented full time employees accrue 6.67 hours of Vacation per month; accrue up to 52 hours of sick leave annually; receive at least 96 hours for holidays. PTO, Vacation, sick leave, and holiday hours are prorated based on start date during the calendar year.
This position is incentive plan eligible.
Premium Pay Statement
Pay Rate: The annual base salary range for this position in most major metropolitan areas in California, Massachusetts, and New York is $179,800 - $311,650. For states not referenced above, the salary range for this position will reflect the candidate's final work location. Please note that the salary information is a general guideline only. Lockheed Martin considers factors such as (but not limited to) scope and responsibilities of the position, candidate's work experience, education/ training, key skills as well as market and business considerations when extending an offer.
