Antitrust HSR Associate Attorney (4–8 Years)
Locations: Washington, DC | Los Angeles, CA | San Francisco, CA | New York, NY
Salary: $310,000 – $435,000

Direct Counsel is seeking an Antitrust HSR Associate to join a leading Am Law firm. This is an outstanding opportunity for an attorney with 4–8 years of experience advising clients on Hart-Scott-Rodino (HSR) Act compliance and antitrust aspects of mergers and acquisitions.

The ideal candidate will have substantial experience counseling clients on premerger notification requirements, coordinating HSR filings, and supporting complex domestic and cross-border transactions.

Responsibilities
  • Advise clients on all aspects of the Hart-Scott-Rodino (HSR) Antitrust Improvements Act, including premerger notification requirements and filing obligations.
  • Analyze transactions to determine HSR reportability and advise clients on U.S. antitrust compliance issues.
  • Collaborate closely with M&A deal teams throughout the lifecycle of transactions.
  • Assist with antitrust due diligence, integration planning, and transaction risk assessments.
  • Prepare, review, and file HSR notifications, ensuring accuracy and compliance with regulatory requirements.
  • Advise clients regarding competitive overlaps, market analyses, and strategic considerations related to proposed transactions.
  • Assist with Access Letter submissions and Second Request responses during government investigations.
  • Coordinate with internal and external stakeholders to facilitate timely regulatory approvals and transaction closings.
Qualifications
  • J.D. from an accredited law school.
  • Active bar admission, or eligibility for admission, in the jurisdiction where the position is based.
  • 4–8 years of experience handling HSR filings and antitrust counseling in connection with mergers, acquisitions, and other strategic transactions.
  • Strong familiarity with the Hart-Scott-Rodino Antitrust Improvements Act and U.S. merger review process.
  • Experience advising on antitrust compliance, due diligence, and integration planning.
  • Excellent legal research, analytical, drafting, and communication skills.
  • Ability to manage multiple complex matters in a fast-paced, collaborative environment while providing practical business-focused advice.
