Job description

Our esteemed client, one of Canadaโ€™s leading law firms with offices across Canada and New York, is seeking a talented and motivated Junior Associate to join its Banking & Specialty Finance Group in it's Calgary office.


This is an exceptional opportunity for a junior associate to develop a broad and sophisticated finance practice while working closely with highly regarded practitioners. The successful candidate will gain exposure to a diverse range of financing transactions, from smaller and mid-market deals to larger, more complex syndicated financings.


Our client is looking for an associate who is technically strong, commercially minded and eager to take an active role in client relationships. The ideal candidate will be comfortable working directly with clients and have a genuine interest in business development and building a successful long-term practice.


Key Responsibilities


  • Assist with a broad range of domestic and cross-border financing transactions.
  • Work on bilateral and syndicated credit facilities involving banks, financial institutions, private lenders and corporate borrowers.
  • Support transactions ranging from smaller and mid-market financings to larger, more complex syndicated deals.
  • Draft, review and negotiate credit agreements, security documents, guarantees, intercreditor agreements and related closing documentation.
  • Conduct and coordinate due diligence, including the review of corporate records and security registrations.
  • Manage transaction closings and work collaboratively with clients, opposing counsel and internal legal teams.
  • Provide practical, business-focused advice to lenders and borrowers.
  • Develop strong client relationships and participate in business development and profile-building initiatives.
  • Collaborate with lawyers across the firmโ€™s offices and practice groups.


Qualifications


  • Called to the Alberta Bar in 2024 or 2025, or eligible to transfer to Alberta.
  • Relevant experience in banking, financial services or lending transactions gained at a leading regional, national or international law firm.
  • Experience assisting with both mid-market and larger syndicated financing transactions would be considered an asset.
  • Strong drafting, analytical, organizational and transaction-management skills.
  • Commercially minded, practical and responsive in their approach to client service.
  • Confident and personable, with an interest in working directly with clients.
  • Demonstrated enthusiasm for business development and building a long-term practice.
  • Able to manage competing priorities and work effectively both independently and as part of a collaborative team.
  • Excellent written and verbal communication skills.
  • Above average academics
