Responsibilities

Constellium seeks to hire a U.S. Legal Counsel (Corporate and Securities) who will report to Constellium's VP, Legal & Assistant Secretary. This individual will work alongside the VP, Legal & Assistant Secretary, two U.S. based legal counsel and other members of the European legal team to provide legal counsel and support to the Company, with a special focus on U.S. securities law matters.

  • Work with the VP, Legal & Assistant Secretary in collaborating with colleagues in legal, finance, tax, total rewards, investor relations, and communications in preparing Constellium's SEC filings, including its Annual Report on Form 10-K, quarterly reporting on 10-Qs, Proxy Statement, current reporting on Form 8-K; registration statements on Forms S-1 and S-3, and all related filings;
  • Ensuring that Constellium's governance arrangements and policies comply with applicable SEC and NYSE requirements;
  • Advise on and manage SOX compliance matters;
  • Maintain up to date knowledge on SEC reporting and compliance matters including best practices, changes in law, and trends;
  • Work closely with the VP, Legal & Assistant Secretary to ensure that advice concerning US securities law matters is made available in a timely and effective manner;
