DGA Group is seeking a General Counsel (GC) to serve as its chief legal advisor to the Chief Executive Officer (CEO), Senior Leadership Team, and Board of Directors. As a member of the Senior Leadership Team, the GC provides strategic legal and business counsel that enables the firm to achieve its objectives while effectively managing enterprise risk. The GC leads the firm's global legal strategy, corporate governance, enterprise risk management, regulatory compliance, litigation, commercial transactions, and other assigned corporate services, partnering across the organization to enable sound governance, informed decision-making, and sustainable growth across the firm’s global operations.

Key Responsibilities Executive Leadership
  • Advises the CEO, Senior Leadership Team, and Board of Directors on legal, governance, regulatory, operational, and reputational matters.
  • Anticipates and mitigates enterprise risk while balancing legal considerations with business objectives.
  • Leads the global legal function, including legal operations, relationships with outside counsel, subject matter experts, and departmental budget.
  • Builds trusted partnerships across the firm to support strategic initiatives and organizational performance.
Legal Strategy & Transactions
  • Provides strategic legal counsel to support business growth, operational priorities, and organizational transformation.
  • Negotiates, structures, and oversees commercial agreements, strategic transactions, and other corporate initiatives, including mergers, acquisitions, and partnerships.
  • Ensures contracts appropriately protect the firm's interests and effectively manage legal and business risk.
Corporate Governance & Compliance
  • Serves as principal legal advisor to the Board of Directors, ensuring sound corporate governance and compliance with bylaws and fiduciary obligations.
  • Leads enterprise compliance and ethics programs, including internal investigations and responses to audits, regulatory inquiries, and government investigations.
  • Monitors legislative and regulatory developments and advises leadership on business impacts.
Litigation & Employment Law
  • Directs litigation, claims, investigations, and dispute resolution strategy, including oversight of outside counsel and settlement negotiations.
  • Advises Human Resources on employment law, employee relations, workplace investigations, executive employment agreements, and restrictive covenant matters.
Information Technology & Corporate Services
  • Provides oversight of legal matters involving cybersecurity, privacy, data protection, technology governance, and regulatory compliance.
  • Oversees Information Technology strategy, enterprise systems, cybersecurity governance, technology vendor management, and incident response.
  • Oversees corporate real estate, lease administration and negotiations, facilities management, business continuity, and physical security.
Qualifications and Competencies
  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law and membership in good standing with applicable state bar.
  • 10-15+ years of progressively responsible legal experience.
  • Experience in corporate governance, regulatory compliance, enterprise risk management, commercial transactions, employment law, and litigation within a multi jurisdictional, global business environment.
  • Strong governance and regulatory expertise, including experience advising on the Lobbying Disclosure Act (LDA) and the Foreign Agents Registration Act (FARA) preferred.
  • Demonstrated success advising executive leadership and Boards of Directors.
  • In-house counsel experience preferred.
  • Exceptional negotiation and communication skills
  • Sound risk assessment, legal judgment and decision-making capabilities
  • Ability to simplify complex legal issues for business leaders
  • High ethical standards, integrity, and professional judgment
