Job description

Direct Counsel is partnering with an AmLaw 10 law firm to identify a talented Investment Funds, Registered Funds / BDC Associate (3–5 years of experience) to join its Investment Funds Group. This opportunity is available in New York, Boston, Washington, DC, or Los Angeles.

This role offers the opportunity to work on sophisticated registered fund and BDC matters, advising leading asset managers and financial institutions on the formation, structuring, and operation of a wide range of retail investment products.

Key Responsibilities
  • Advise clients on the formation, structuring, and ongoing operation of registered investment funds and Business Development Companies (BDCs)

  • Work with a variety of retail fund products, including:

    • Mutual funds

    • Exchange-traded funds (ETFs)

    • Listed closed-end funds

    • Interval and tender offer funds

    • Business development companies (BDCs)

    • Real estate investment trusts (REITs)

    • Other alternative and hybrid investment structures

  • Assist with regulatory, compliance, and distribution matters in both U.S. and global markets

  • Support public company reporting obligations and capital markets-related matters

  • Collaborate with clients and colleagues on complex fund structures and regulatory issues

Qualifications
  • 3–5 years of experience in an investment funds or asset management practice

  • Significant experience with registered funds and/or BDC formation and structuring

  • Experience advising on retail investment products

  • Familiarity with regulatory, compliance, and distribution matters is a plus

  • Public company reporting or capital markets experience is valued

  • Outstanding analytical, writing, and communication skills

  • Strong academic credentials

  • J.D. required and admission to the relevant state or DC bar (or eligibility to obtain admission promptly)
