Job Description

  • Lead mergers and acquisitions transactions representing buyers and sellers from letter of intent through closing.
  • Draft, negotiate, and advise on purchase agreements, financing documents, disclosure schedules, and ancillary transaction documents.
  • Coordinate due diligence, transaction management, and closing processes across multiple stakeholders.
  • Counsel clients on business restructurings, asset and equity acquisitions, venture capital and private equity investments, and commercial financing transactions.
  • Advise clients on entity formation, corporate governance, LLC agreements, shareholder agreements, partnership agreements, and executive compensation arrangements.
  • Structure employee incentive and synthetic equity plans.
  • Collaborate with attorneys across practice groups to provide strategic business counsel.
  • Build strong client relationships while delivering exceptional legal service on sophisticated corporate matters.

Qualifications

  • JD from an accredited law school.
  • Active DC Bar admission or eligibility for prompt DC admission.
  • 6+ years of corporate M&A experience.
  • Strong law firm background required.
  • Significant experience leading sophisticated M&A transactions.
  • Experience drafting and negotiating complex transaction documents.
  • Experience with corporate governance, entity structuring, and commercial transactions.
  • Government contractor experience preferred.
  • Outstanding negotiation, communication, analytical, and client management skills.
  • Prior in-house experience is welcome if combined with meaningful law firm experience.
