Job description

Shareholder Services & Corporate Governance Specialist

Location: This role requires associates to be in-office 3-4 days per week at our Indianapolis location, fostering collaboration and connectivity, while providing flexibility to support productivity and work-life balance. This approach combines structured office engagement with the autonomy of virtual work, promoting a dynamic and adaptable workplace.

The Shareholder Services & Corporate Governance Specialist supports the Shareholder Services and Corporate Secretary functions of a large, publicly traded company by coordinating shareholder services, corporate governance and securities compliance activities in a fast-paced, deadline-driven environment. The role supports key public company processes, oversees shareholder records and ownership, coordinates activities related to the annual shareholder meeting and the Elevance Health proxy statement, and assists with department budgets. The candidate will interact with Elevance Health's Corporate Secretary, other members of senior management and Elevance Health's Board of Directors.

How You Will Make an Impact:

  • Serves as a resource for shareholder matters and acts as liaison with the transfer agent, helping ensure shareholder-related records, disclosures and deliverables are accurate and timely
  • Supports recurring shareholder services responsibilities, including quarterly dividends, shareholder communications, records and related operational processes.
  • Supports preparation and distribution of the annual proxy statement and assists with coordination of activities related to the annual meeting of shareholders.
  • Assists with Section 16 reporting, insider trading compliance and related disclosure obligations for directors and executive officers, including the preparation and filing of Forms 3, 4 and 5 with the SEC.
  • Provides support for the Shareholder Services and Corporate Governance sections of the company website.
  • Assists with Corporate Secretary and Corporate Governance deliverables, including governance research and preparation of director and officer questionnaires.
  • Coordinates cross-functional inputs across Legal, Finance, Human Resources, Investor Relations, and Corporate Communications to support accurate and timely deliverables.

Minimum Requirements:

Requires a BA/BS in business or a related field and a minimum of 3 years of public company shareholder services experience; or any combination of education and experience, which would provide an equivalent background.

Preferred Skills, Capabilities, and Experiences:

  • Experience supporting a Corporate Secretary, corporate governance function or shareholder services function at a publicly traded company or corporate/securities law firm.
  • Experience with public company shareholder meetings and shareholder interactions.
  • Strong attention to detail, sound judgment and the ability to organize and prioritize multiple deadline-driven responsibilities.
  • Collaborative, responsive and service-oriented approach.
  • Proficient in Microsoft Word, Outlook, Excel, with the ability to quickly learn and effectively use new technology, including Section 16 and proxy filing software such as Workiva.
