Summary of the Job:

Provide strategic legal advice to employees and management representatives with respect to unsecured consumer lending, home improvement lending, and co-branded credit card relationships. This role requires deep expertise in the assigned business unit's business/industry, policies and procedures. Knowledge of regulatory implications of consumer lending is a plus. Experience drafting and negotiating complex contracts is mandatory. You will work collaboratively with members of the Legal, Risk & Compliance teams to ensure that information, knowledge and experience is shared for the benefit of the organization as a whole. A successful candidate will possess strong business acumen and the ability to translate complex legal principles into practical and effective business solutions. As Director, you will serve as a strategic legal and business advisor to senior leadership, manage complex legal matters, and provide guidance on contract drafting and negotiation, regulatory compliance, and risk mitigation strategies.

About This Role:

Key Accountabilities:

  • Contract Drafting and Negotiation - Proactively engage with business units to ensure appropriate drafting and negotiation of non-disclosure agreements, Slice and Slice HIL merchant agreements, co-brand credit card partner agreements, credit card network agreements, contracts for the sale of credit card and/or unsecured consumer loan portfolios, and other contracts as assigned.
  • Legal Advice & Counsel - Provide timely, practical and actionable legal advice and counsel to the Partnership division. Analyze unique and complex issues, conduct research, and develop recommendations to mitigate legal risk for the business unit.
  • Legal Risk Management - Ensure that assigned business units have access to and utilize available legal risk management services and ensure that contract terms reflect FNBO's and the Partnership division's risk standards. Identify, assess, and communicate legal risks to senior leadership and recommend mitigation strategies. Monitor legislative and regulatory developments and assess the impact on FNBO's business operations.

  • Uphold the First National Code of Business Conduct and ensure that confidential information is safeguarded.
  • Maintain a high level of cooperation with internal and external team members to ensure accurate and efficient operations and service.
  • Formulate and communicate new ideas and suggestions that will mitigate risk and improve profitability and efficiency for the organization.
  • Demonstrate FNBO's values and contribute to a positive, collaborative team culture.

Knowledge, Skills and Abilities

Required:

  • Juris Doctor (J.D.) degree from an accredited law school
  • Active membership in good standing with a state bar
  • 8+ years of legal experience at a law firm or as in-house counsel
  • Strong knowledge of contract law and extensive experience drafting and negotiating complex commercial agreements
  • Excellent oral and written communication skills with the ability to explain complex legal concepts clearly and concisely
  • Strong interpersonal skills, including the ability to build collaborative relationships, listen and actively contribute to discussions
  • Ability to think creatively and strategically
  • Demonstrate a consultative approach with the ability to analyze stakeholders' needs
  • Display a positive business presence with management and external contacts
  • Demonstrate sound judgment and apply logical and critical thought processes when developing and recommending solutions
  • Strong business acumen and ability to balance legal risk with business objectives
  • Meticulous attention to detail and strong analytical capabilities

Preferred:

  • Experience in the financial services industry, specifically with consumer regulatory matters and lending, is preferred but is not required

The Ideal Candidate for This Role:

The ideal candidate is a seasoned attorney who combines deep contract drafting and negotiation expertise with strong business judgment, excellent communication skills, and a collaborative approach.

Candidates must possess unrestricted work authorization and not require future sponsorship.

Compensation:

Compensation range (base pay): $107,552.00-$182,838.00

This role may have a specific starting pay within this range.

Final compensation offer to candidate may vary from posted hiring range based upon work experience, education, and/or skill level.
