The Assistant General Counsel will be a hands-on leader, bringing a practical, business-oriented mindset to execute and manage the company's legal and compliance matters and contribute to an effective and efficient legal function to support the company's continued growth.
Responsibilities
Contracting Execution and Management
  • Contract Drafting and Negotiation: Draft, review, and revise a wide range of contracts; ensure contract language accurately reflects business terms and mitigates legal and commercial risk. Lead negotiations with clients, vendors, and partners to achieve favorable terms; collaborate with internal stakeholders to align negotiation strategies.
  • Contract Life Cycle Management: Oversee the end-to-end contract lifecycle: initiation, drafting, negotiation, execution, renewal, and termination. Maintain organized records of contracts and ensure timely renewals or amendments. Effectively leverage contract lifecycle management (CLM) tools to track deadlines, obligations, and deliverables.

Litigation Management: Oversee, manage and coordinate with outside counsel to manage select company litigation matters.
Compliance and Enterprise Risk
  • Compliance and Enterprise Risk: Support the Legal Department in evolving and strengthening Kindeva's compliance program to meet as well as anticipate the changing global regulatory landscape, positioning compliance as a strategic advantage. Work cross-functionally to support compliance with relevant statutes and regulations globally.
  • Team Leadership and Culture: Lead and develop a diverse, high-performing team, attracting, retaining, and developing top legal talent across multiple regions; fostering a culture where legal and compliance professionals engage in challenging, meaningful work, receive recognition for their contributions, and are mentored for future leadership roles; and modeling transparency, trust, and strategic partnership, ensuring that the legal and compliance team remains aligned with organizational goals, empowered to support all business units effectively.

Qualifications
  • J.D. degree from an ABA accredited law school, and active admission to any State Bar with a minimum of 5 years of direct legal experience in progressive, in-house roles, or 10 years experience with at least 3 years in in-house roles. Deep experience in contracting is required. The ideal candidate will also have broad based experience with in house roles including IP, licensing, regulatory, employment, complex transactions, global compliance programs, cross-border governance, and related areas.

  • In-house experience with CDMOs preferred; a background in the life sciences industry (e.g., pharmaceutical, biotech, or medical device) or an adjacent manufacturing sector required.

  • Experience with start ups is strongly preferred.

  • Experience with a broad range of legal technologies including CLMs, research tools, and AI.

The specific compensation offered to a candidate may vary based on factors including, but not limited to, the candidate's relevant knowledge, training, skills, work location, and/or experience.
