Job Purpose

The Associate General Counsel โ€“ Commercial serves as a senior advisor and strategic partner to the business, providing high-level legal and strategic support to the Chief Legal Officer, the Vice President and Deputy General Counsel for Commercial Transactions, and other enterprise stakeholders. The role is responsible for leading complex commercial transactions, overseeing the Companyโ€™s government and vendor contracting programs, supporting RFP-related activities, and proactively managing commercial legal risk across the organization.

Essential Duties
  • Lead the drafting, review, and negotiation of complex and high-value commercial agreements, including master services agreements, SaaS agreements, software and content licenses, vendor and supplier agreements, government contracts, consulting agreements, statements of work (SOWs), purchase orders, non-disclosure agreements, and similar documents.
  • Lead legal review of significant government RFP responses and work within the Legal Department and across cross-functional teams to effectively identify, scope, and resolve legal issues arising from RFP requirements.
  • Provide senior-level legal counsel to Sales, Procurement, and Operations regarding contract development, negotiation strategy, disputes, procurement matters, and RFP interpretation.
  • Partner with Compliance functions to align legal and regulatory requirements with commercial practices.
  • Develop and implement contract and RFP forms, playbooks, and policies to improve consistency, efficiency, and risk mitigation, including through the active use of, and improvements to, AI-assisted tools.
  • Deliver training programs to business teams on contracting practices and legal risk awareness.
  • Independently manage a high-volume portfolio of commercial matters and exercise autonomous decision-making authority.
  • Perform other related duties as assigned or required.
Knowledge, Skills, and Abilities
  • Able to address and resolve issues comprehensively, including by fully scoping the issue and its origins, identifying potential resolutions and their dependencies, and affirmatively identifying and addressing second or third-order consequences of the proposed resolution.
  • Meticulous attention to detail, including (1) the ability to prepare initial drafts, documents, analyses, and the like that reflect complete thinking and that are free from typographical or stylistic errors, and (2) the ability to identify and address all dependent or related elements while evaluating and responding to legal questions or issues.
  • Demonstrated track record of leading negotiation and execution of complex commercial agreements and the executive presence necessary to effectively and confidently represent the Company in such negotiations.
  • Able to effectively manage multiple concurrent obligations and matters spanning different subject matters and business functions.
  • Able to provide clear, practical, and business-oriented legal advice to Legal Department leadership and senior stakeholders, including the Companyโ€™s senior leadership team, and the executive presence necessary to effectively and confidently represent the Legal Department in such circumstances.
  • Demonstrated strong leadership capabilities, including the ability to drive to complete resolution of legal issues involving the Legal Department and cross-functional teams.
  • Exceptional written and verbal communication skills and the ability to translate complicated legal concepts into actionable and understandable business guidance and convey the same to non-legal stakeholders.
  • Exceptional level of professional judgment, discretion, and adaptability.
Minimum Qualifications
  • Juris Doctor (JD) from an accredited U.S. law school.
  • 15+years of post-JD experience as a practicing attorney, including at least ten (10) years in complex commercial transactions and at least ten (10) years at the Associate General Counsel, Assistant General Counsel, or equivalent level (including Partner or Of Counsel with client-lead responsibility), and at least five (5) years managing and training direct reports.
  • Active membership in good standing with a state bar.
Preferred Qualifications
  • JD from a law school ranked in the top 50 by U.S. News & World Report at the time of graduation, or distinction such as law review, Order of the Coif, or moot court.
  • Demonstrated experience using AI-assisted tools in legal practice, including responsibility for developing and improving form and clause libraries, and generating initial draft contract documents and RFP reviews.
  • Experience with federal and/or state government procurement and contracting.
  • Experience working as in-house counsel in a regulated industry, including technology or telecommunications companies.
  • Located in or willing to work in the Dallas/Fort Worth metroplex with an in-office presence approximately four days per week.
