Attorney - Independent Director Team
Wilmington, DE (Hybrid - 3 Days Onsite)
Monday to Friday 8:30 a.m. to 5:30 p.m.
Summary:
CSC is currently seeking an enthusiastic, highly motivated, team player for our Independent Director team with strong organization and communication skills to manage new and existing client relationships and serve in the role as an Independent Director.
Some of the things you will be doing:
  • Reviewing, analyzing and negotiating entity organizational documents and contracts involving commercial transactions for new and existing appointments of independent directors and managers
  • Performing thorough risk assessments under applicable state laws (and some international jurisdictions) to ensure and maintain compliance and maximize protection for new and existing appointments
  • Conferring with corporate leaders and attorneys, reviewing documentation and investigating information for the approval of transactions for existing appointments
  • Reviewing state law (and some international jurisdictions) and drafting language consistent with corporate and alternative entity statutes that will meet CSC's risk requirements
  • Utilizing CSC's database to manage workload and document retention while ensuring all transactional deadlines are met
  • Ensuring the receipt of fully executed organizational documents and contracts
  • Responding to inquiries from potential clients regarding new appointments and the team's services generally
  • Creating invoices for clients through Oracle
  • Serving in the capacity of Independent Director

What technical skills, experience, and qualifications do you need?
  • Attorney licensed to practice in Delaware (admission to other state bars considered)
  • 1-2 years in private practice or equivalent (corporate or bankruptcy experience a plus)
  • Experience demonstrating competence in each of the following areas:
    • Preparing and maintaining legal documents and case files
    • Legal and factual research, including researching statutes, regulations and background information
    • Review and analysis of complex agreements
    • Drafting and/or negotiating legal documents such as contracts, service agreements, or entity formation documents
  • Attention to detail
  • Strong prioritization and time management skills
  • The ability to work independently and collaboratively as part of a team
  • Excellent communication skills, both written & verbal
  • Flexibility
  • Strong computer skills with an emphasis on MS Office suite and internet applications
