Job description

Title: Attorney 1

Overview:

IQVIA is seeking a mid-level attorney to join our corporate in-house team. The Attorney 1 will report directly to the Assistant General Counsel, Securities and work closely with our Finance, Treasury, Investor Relations, and Sustainability teams to prepare SEC filings and provide counsel on issues related to SEC compliance, governance matters, capital markets transactions, joint ventures, sustainability reporting requirements, legal entity management and general corporate law.

The ideal candidate will be intellectually curious, proactive, and eager to assume increasing responsibility in a collaborative and fast-paced environment. This is a high visibility role with exposure to senior management and strong growth opportunities.

Key Responsibilities:

  • Assist with public company securities law compliance and preparation of SEC filings, including 10-Ks, 10-Qs, Proxy Statements, 8-Ks, and '33 Act registration statements.
  • Assist with preparing materials for board and committee meetings, including drafting resolutions, consents, certificates and minutes. Assist with the annual meeting of stockholders.
  • Assist with various corporate governance initiatives relating to the company's board of directors, including director and officer questionnaires, maintenance of corporate records, as well as review of Articles of Incorporation, Bylaws, board committee charters and other corporate governance documents and policies.
  • Assist with capital markets transactions, including debt issuances, credit facility matters, securities offerings, and related disclosure and compliance obligations, as well as ongoing compliance with debt covenants.
  • Coordinate with Sustainability team on annual Sustainability Report as well as rapidly evolving sustainability laws and disclosure requirements.
  • Assist with legal entity management, including legal entity integration and reorganization activities, creation of new legal entities, merger and consolidation of legal entities, corporate governance for joint ventures, and legal entity maintenance.
  • Participate in the development of departmental procedures to improve processes around legal entity management, corporate governance, and securities.
  • Coordinate matters handled by outside counsel.
  • Perform other duties as required.

Qualifications & Skills

  • Juris Doctorate (J.D.) degree from a nationally recognized law school and admitted to the Bar of at least one state.
  • 3-5 years of experience with U.S. public company reporting, securities law compliance, corporate governance, and capital markets transactions.
  • Strong organizational, planning, project management, communication, presentation and influence skills.
  • Demonstrated ability to work creatively and with a high energy level in a fast-paced environment.
  • Demonstrated ability to establish and maintain effective working relationships cross-functionally and across global geographies with coworkers, managers and clients.
  • Exceptional attention to detail and ability to work simultaneously on multiple priorities.
  • Ability to work independently.
  • Excellent skills using MS Office Suite: MS Excel, MS Word, MS PowerPoint, MS 365 Copilot.

Compensation:

Competitive and commensurate with experience.

Relocation/Work Model:

The potential base pay range for this role, when annualized, is $77,900.00 - $194,900.00. The actual base pay offered may vary based on a number of factors including job-related qualifications such as knowledge, skills, education, and experience; location; and/or schedule (full or part-time). Dependent on the position offered, incentive plans, bonuses, and/or other forms of compensation may be offered, in addition to a range of health and welfare and/or other benefits.
