Job description

GENERAL COUNSEL
Commercial Alliance provides a comprehensive suite of lending services designed to help credit unions succeed with business members across six states. We are looking for an enthusiastic, self-motivated professional to provide Executive Leadership with effective advice on Company strategies and their implementation. Manage the legal function, and obtain and oversee the work of outside counsel. The General Counsel is directly involved in complex business transactions, drafting loan documentation for large loans, and negotiating critical Company contracts.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
  • Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
  • Responsible for partnering with the loan documentation teams to provide legal guidance and also drafting loan documents for complex transactions that are needed outside of standard loan packages.
  • Oversees the drafting, review, and negotiation of contracts and agreements entered into by the Company.
  • Serves as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
  • Identifies and manages legal risks that the Company may face and implements strategies to mitigate those risks.
  • Judges the merits of major court cases filed against or on behalf of the Company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.
  • Ensures compliance with relevant laws and regulations in operations and business activities across the Company.
  • Structures and manages the companyโ€™s internal legal function and staff.
  • Oversees the selection, retention, management and evaluation of all outside counsel.
  • Supervise and delegate work to other in-house counsel or legal assistance.
  • Knowledgeable of changing legislation and keeping current on legal matters affecting the Company.
  • Responsible for partnering with leadership on the Risk Management Consulting
  • Responsible for managing the construction loan process for borrowers and supervision of the staff responsible for this day to day. May also include additional management responsibilities of the lending process.
  • Required Skills/Abilities:
  • A strong foundation of legal principles and knowledge across various areas of law, including corporate law, contract law, regulatory compliance, and intellectual property.
  • Ability to understand the Companyโ€™s business objectives and align legal strategies with overall business goals.
  • Capacity to think strategically and provide legal advice that supports the long-term goals and objectives of the Company.
  • Proficient in assessing and managing legal risk, identifying potential legal challenges and developing strategies to mitigate or address them.
  • Ability to negotiate effectively and draft contracts that protect the Companyโ€™s interests while facilitating business transactions.
  • Strong problem-solving skills to address legal challenges and find practical solutions.
  • Leadership skills to manage legal teams effectively and guide them in delivering high-quality legal services.
  • Ability to draft and review loan documentation packages for Commercial / Business Customers
  • Unquestionable integrity and commitment to ethical conduct.
QUALIFICATIONS:
Required:
  • Law degree.
  • Admitted to the bar.
  • Minimum of five yearsโ€™ experience in a law firm environment or equivalent functions
  • Strong written and verbal communication skills.
  • Must be located in or willing to relocate to Troy, MI or Cincinnati, OH
Preferred:
  • Deep knowledge of relevant laws and regulations applicable to Credit Unions, CUSOโ€™s and Commercial amp; Consumer Banking Activities
  • Experience in interacting with external regulators, auditors, and examiners.
  • Capacity to make informed and timely decisions.
