Job description

Direct Counsel represents a prestigious AmLaw firm seeking a Corporate M&A Associate to join its growing Corporate Transactions practice.

Locations: Charleston, SC | Charlotte, NC | Miami, FL | Nashville, TN | Pittsburgh, PA | Portland, OR | Raleigh, NC | Seattle, WA

This opportunity is ideal for an attorney with 3โ€“5 years of Mergers & Acquisitions experience, with private equity transaction experience preferred.

Responsibilities:

  • Draft, review, and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related transaction documents
  • Manage M&A transactions from diligence through closing
  • Conduct and oversee legal due diligence reviews
  • Advise clients on corporate governance and general business matters
  • Draft and negotiate partnership agreements, joint venture agreements, and LLC operating agreements
  • Coordinate transaction workstreams and closing processes
  • Assist with representation and warranty insurance underwriting matters
  • Work directly with clients, opposing counsel, and deal teams on complex transactions

Qualifications:

  • JD from an accredited law school
  • Active bar admission and good standing
  • 3โ€“5 years of corporate M&A experience at a law firm
  • Experience handling acquisitions, dispositions, and corporate transactions
  • Private equity transaction experience preferred
