This position reports to the General Counsel and serves as a key legal leader within Bioventus, providing strategic legal advice on a wide array of corporate and business matters to the organization and its subsidiaries while also serving as a value-add partner to the business, aligned in achieving the company's strategic goals. The Assistant General Counsel will be primarily responsible for commercial transactions and will assist in intellectual property matters, compliance issues, disputes, and other legal needs under the direction of the General Counsel. The position will include a significant amount of cross-functional interaction within Bioventus, including the company's sales, product development, procurement and finance functions.
  • Develop a thorough understanding of and familiarity with the company's business, its people, products, markets, facilities, customers, and competitors. Review, draft and negotiate a broad range of commercial contracts.
  • Ensure that contracts are in compliance with legal, regulatory and company policies.
  • Monitor the contract process to assure compliance with the organization's contractual guidelines, satisfaction of customers/vendors, including participation in pre-contract discussions, contract negotiations and contract reviews.
  • Supervise and coordinate all legal services necessary to ensure compliance with laws and regulations in the following areas: health, safety and environmental; manufacture and sale of medical devices; and import and export of goods and services.
  • Review and advise management with respect to product marketing literature and advertising matters.
  • Monitor and improve controls and procedures to ensure compliance with all applicable laws and regulations.
  • Partner closely with finance, tax, HR, compliance, and business leadership to deliver integrated legal advice.
  • Support the Company's compliance with public company reporting and other requirements.
  • Monitor and advise on relevant legal and regulatory developments impacting corporate and commercial activities in applicable jurisdictions.
  • Contribute to the development and improvement of legal templates, playbooks, and internal processes to drive efficiency and consistency.
  • Holds oneself and others accountable to conduct business in a manner compliant with Bioventus' Code of Compliance, policies and procedures and internal controls applicable to their role.
  • Perform other duties and responsibilities assigned by the General Counsel.
What you'll bring to the table
  • Doctor of Jurisprudence degree (JD) from an American Bar Association accredited law school with superior academic credentials required. Current membership in a state bar required.
  • A minimum of 10-15 years legal experience with at least 8 years as a business attorney with a strong background in commercial and regulatory transactions with the proven ability to provide quality legal services.
  • Experience gained in a reputable law firm, inhouse legal department (e.g., medical device, pharmaceutical, biotechnology or other life sciences company), or a combination of both.
  • Strong expertise in commercial sales contracts and solid experience with corporate governance matters.
  • Ability to analyze, interpret and apply government regulations, guidelines and requirements and to balance legal risk with commercial objectives and provide pragmatic, businessfocused advice.
  • Exceptional attention to detail and ability to work simultaneously on multiple priorities and ability to respond to shifting priorities.
  • Demonstrated sound decision-making skills and ability to own projects and consistently meet tight timelines and high-quality standards.
  • Commitment to client service, finding solutions, relationship building in a diverse environment and continuous learning.
  • Ability to handle confidential and non-public proprietary information with sound discretion and judgment.
