Primary Purpose of Organizational Unit
The Office of University Counsel (OUC) represents the University, which entails providing legal advice and counsel to the Board of Trustees, the Chancellor, the administration, faculty, and staff on legal matters involving or affecting the institution. We advise the University administration on a broad range of initiatives, issues, and policy matters, and serve as a liaison between the University and its related and affiliated entities on legal and policy issues. We also assist with program implementation and provide legal and policy training for internal University audiences and educational programs for legal audiences and general audiences outside the institution on matters affecting the University and higher education in general. We engage in crisis and opportunity management and preventative counseling, including the identification of high-risk activities and enterprises conducted by the University and the articulation of methodologies or strategies for coping with the risk.
Position Summary
The Assistant University Counsel (Attorney) reports to the Office of University Counsel (OUC) and provides legal services to the University. The Attorney reviews, drafts, negotiates, and manages a variety of contracts and transactional documents, including services agreements, non-disclosure agreements, software licenses, information technology agreements, consulting agreements, property-related agreements, executive search firm agreements, performance and speaker agreements, exhibition and equipment loan agreements, digital education contracts, revenue-generating arrangements, and other related agreements.
The position also provides legal support to Procurement Services, including advising on state procurement laws, strategic sourcing and vendor management, and other aspects of procurement operations. The position will also assist with contract administration, including updating contracting playbooks, reviewing contract provisions, and providing general legal advice to the unit. The Attorney conducts legal research and provides advice on contractual matters and applicable federal and state laws, regulations, and University policies.
Minimum Education and Experience Requirements
Relevant post-Baccalaureate degree required (or foreign degree equivalent) with three years or greater of related professional experience; for candidates demonstrating comparable professional backgrounds, will accept a relevant Bachelor's degree (or foreign degree equivalent) and five years or greater of relevant experience in substitution.
Required Qualifications, Competencies, and Experience
Graduation from an accredited school of law.
Be a licensed attorney in good standing in North Carolina or able to become one within one year of joining the University.
A minimum of two years of relevant legal experience.
Preferred Qualifications, Competencies, and Experience
Knowledge of the law.
Ability to use effective approaches for choosing a course of action, developing appropriate solutions, and/or reaching conclusions
Sufficient knowledge of client program, organization, and culture to provide appropriate advice and counsel. Ability to develop plans to accomplish unit objectives and requirements
