Summary:
The General Counsel will be a strategic asset to the CEO, lead a legal department, effectively
provide legal advice, and tackle any legal obstacles that the company may face during its journey
for success. Acting as the organization's in house legal representative, the General Counsel will
leverage their industry and legal experience to set the standard for company-wide compliance
issues, ensure risk mitigation, and improve business performance through the legal function.
Key Responsibilities:
Legal Operations & Compliance
• Maintain all corporate records, including, but not limited to organizational documents, minutes
of meetings, resolutions, stock ledgers, closing binders and other business records.
• Review and draft agreements and other documents as directed including employment, vendor,
private label, IT, finance, real estate.
• Review existing policies and develop new policies pertaining to legal matters.
• Examine company's litigation strategy to determine the advisability of prosecuting
or defending lawsuits or other legal actions.
• Oversee licensure compliance to operate.
• Manage insurance program for all Horizon Service Group holdings.
• Oversee employment and labor law compliance across all locations, including wage and hour,
multi-state employment regulations, employee relations, and exposure to union-related matters given
field workforce composition.
• Manage data privacy and cybersecurity legal obligations, including state privacy law compliance,
breach response protocols, and vendor data agreements.
• Manage the company's real estate and lease portfolio across all operating
locations, including review, negotiation, and renewal of facility leases.
• Manage and refine customer contracts/guarantees/financing plans and warranties.
• Work directly with our customer concerns department.
Lead the Legal Department
• Evaluate and lead the internal legal team within Horizon Services Group and manage outside legal
sources.
• Manage outside counsel when needed.
• Examine and optimize current legal policies and procedures.
Key Member of the Horizon Group Holding Leadership
• Act as a strong advisor and partner to the CEO, Board of Directors, and ELT in relation to the
business.
• Provide legal advice and assistance to all departments, ELT, and key stakeholders.
• Advise the organization about government regulations and legal rights.
• Participate in executive management meetings and present reports and recommendations regarding
legal matters.
Advise on M&A Activity
• Direct involvement in complex business transactions, including acquisitions, divestitures, and
joint ventures.
• Work through deal details.
• Support financing, regulatory and shareholder approvals.
• Negotiate critical contracts.
• Plan and integrate acquired business(es).
Candidate Qualifications:
• JD from an accredited law school; active bar membership.
• A minimum of 10+ years of senior in-house legal experience, including meaningful time in a GC or
deputy GC capacity.
• Prior experience as a General Counsel (or divisional GC in a larger business) with a
demonstrable track record of overseeing a legal department in a business of similar size and
complexity.
• Demonstrated experience in insurance, risk management, and litigation oversight (GL, Auto,
WC).
• Strong experience supporting M&A transactions, ideally on the buy-side.
• Experience in a private equity-backed or high-growth, multi-site environment.
• Proven ability to manage outside counsel and control legal spend.
• Experience in HVAC, construction, field services, or industrial services.
• Familiarity with fleet risk, OSHA, and safety program development.
• Exposure to alternative risk structures (captives, self-insured retentions).
• Experience integrating acquired companies into a unified legal framework.
• Proven ability to act as a strategic member of the ELT of an organization similar to Horizon
Services Group.
• Has executive presence and a proven track record interacting with a hands-on sponsor, board of
directors, and other key stakeholders.
