Corporate Paralegal
Law firms seeking corporate paralegals with minimum of 3 years experience in Boston and Rhode Island.

General transaction experience supporting a range of corporate and financial transactions and a strong understanding of core paralegal responsibilities.
Key Responsibilities
· Draft transactional documents, including resolutions, certificates, entity formation documents, state filings, and other governance materials.
· Coordinate diligence activities, including organizing documents and records, establishing and maintaining virtual data sites, preparing closing documents, and coordinating closing and post-closing requirements.
· Prepare and maintain transaction timetables and checklists.
· Prepare and file annual reports and other periodic compliance filings with federal, state, and local agencies.
· Organize and maintain corporate minute books and stock ledgers.
· Conduct online UCC, corporate, and court records searches.
· Prepare and file UCC financing statements.
· Assist with federal and state business licensing matters.
· Support all aspects of final transaction closings.
Qualifications and Skills
Candidates should have strong verbal and written communication skills, excellent organizational abilities, and the capacity to manage multiple projects at once. Keen attention to detail and proficiency with Microsoft Office are also required. A bachelor’s degree and paralegal certificate, or equivalent job-related experience, are preferred.
