Position Overview

Reporting to the President of FUJIFILM Holdings America Corporation and serving as a member of the Executive Leadership Team, the Vice President, General Counsel, and Secretary will provide strategic guidance and counsel for FUJIFILM Americas Headquarters and its subsidiaries and affiliates in support of the overall business plan and strategic direction of the region.

The Vice President, General Counsel, and Secretary will be responsible for staying informed of the activities across all business units and corporate functions and working with the Americas leadership to identify, understand and appropriately address potential legal impacts to the organization while providing counsel to Board of Directors, Senior Management Team, oversee a team of Chief Counsel, Division General Counsel, and Associate General Counsel members.

The incumbent will be a highly strategic, proactive individual who is well-versed in M&A, business dynamics and the regulatory environment that spans across the region and multiple business areas and will play a key role within the organization to champion a culture of compliance, accountability, collaboration, risk management, and help the organization with its commitment to culture and employee experience. All other duties and responsibilities, as assigned by the President of FUJIFILM Holdings America Corporation.

Job Description

Responsibilities

Strategic Corporate Leadership

  • While serving as a member of the Executive Leadership Team, responsible for collaborating closely with senior leadership, the Board of Directors, and other staff on a wide range of legal and risk management issues, support and advise on the legal, business and ethical implications of all major decisions, strategies, and corporate transactions, including M&A, Intellectual Property, post-merger integration and corporate structure.
  • Oversee and constantly seek improvement of the strategic framework for the legal affairs for FUJIFILM Americas companies while identifying and reducing areas of potential legal exposure across the organization.
  • Serve as a resource to all staff to listen and advise on work-related legal and ethical issues.
  • Liaison with the Compliance, HR, EHS, IT, Regulatory and other departments as well as Fujifilm affiliates in other regions to develop and implement policies and procedures as well as training to ensure compliance with existing state and federal law and Fujifilm values and standards.

Legal Department Leadership Reviews

  • Manage Legal Department attorneys and staff as well as outside counsel and all associated Legal Department operations.
  • Responsible for legal budget and reporting to internal and external stakeholders, including the companies' auditors.
  • Where relevant, manage external legal resources to ensure contracts are negotiated and executed efficiently and cost-effectively.
  • Provide oversight for, or perform directly as necessary, the legal review and negotiation of various commercial contracts.
  • Manage and direct strategy related to significant corporate and financial transactions, including M&A, corporate reorganizations and post-merger integration, as well as significant litigation, compliance and other investigations.
  • Advise on wide range of substantive legal areas including related to antitrust, anti-corruption, government contracts, marketing and advertising, labor & employment, immigration, intellectual property, real estate, product compliance, FDA regulatory matters, international trade, environment, health and safety and corporate compliance matters.
  • Ensure that the organization's vision, mission, and values are fulfilled and actualized in its legal operations and services.
  • Where relevant, manage external legal resources to ensure contracts are negotiated and executed efficiently and cost-effectively.

Board of Directors Governance

  • Provide advice and counsel on Board governance issues. Develop and manage overall strategy for corporate governance-related activities, including the development of board governance materials, and development of resources/tools to enhance Board operations.
  • Record and store formal board actions, including consents and meeting minutes. for boards of all FUJIFILM Americas companies.
  • Concerning Board business (e.g., agenda review, Board resolutions, notification of election, scheduling of and attendance at meetings, mailings, terms of office, etc.).
  • Develop and implement corporate governance "best practices."

Required Skills/Education

  • J.D. from an American Bar Association accredited law school.
  • 15+ years of executive legal experience, in life sciences, medical devices, or biotechnology.
  • Active membership in the New York State Bar, or member in good standing of the State Bar of another state or District of Columbia.
  • Experience working with in a complex, matrixed, and global organizations.
  • Prior experience in the life sciences, medical device, or biotechnology industry.
  • Extensive experience in Mergers and Acquisitions
  • Strong commercial contracting background, with extensive drafting and negotiation expertise.
  • Experience managing legal staff and/or outside counsel
  • Must have effective team building and mediation skills, along with a collegial and collaborative work style.
  • Adept at collaborating across divisions, functions, and geography, with a skill for engaging colleagues at all levels in projects and processes while continuing to own and drive them.
