Emerging Growth & Venture Capital Associate Attorney (Professional Track, 5–8 Years)

Direct Counsel is seeking an Emerging Growth & Venture Capital Associate Attorney to join the corporate group of a leading global law firm as part of its Professional Track Attorney program. This position is open to candidates in all major U.S. offices, including Atlanta, Austin, Baltimore, Boston, Chicago, Dallas, Houston, Los Angeles, Miami, Minneapolis, New York, Palo Alto, Philadelphia, Phoenix, Raleigh, Reston, San Diego, San Francisco, Seattle, Short Hills, Washington, D.C., Wilmington, and Northfield.

Role Focus
The attorney will work with emerging growth companies and the institutional investors that support them, handling venture capital financings, M&A transactions, and a range of ongoing corporate governance matters.

Experience Requirements
Candidates should have 5 to 8 years of experience in emerging growth and venture capital work, including:

  • Preferred stock financings, bridge financings, and SAFE financings

  • Venture capital transactions using NVCA, Series Seed, and Y Combinator forms

  • M&A deal support and due diligence

  • Day-to-day governance for early-stage and high-growth companies

Am Law 100 experience is preferred.

Qualifications

  • JD from an accredited law school

  • Admission to practice in the relevant jurisdiction

  • Strong drafting, analytical, and communication skills

  • Ability to manage transactions and collaborate with teams

  • Excellent judgment, attention to detail, and client service orientation

Compensation & Benefits

  • Expected salary range: $150,000 – $300,000, based on market, experience, and qualifications
