A highly respected national law firm is seeking a Corporate Transactions & Capital Markets Associate Attorney to join its Minneapolis office.

This opportunity is ideal for an attorney interested in representing public and private companies, private equity funds, venture capital funds, and other market participants in sophisticated corporate and securities transactions.

Ideal Background

2+ years of corporate, securities, capital markets, or transactional experience

• Experience representing public companies, privately held businesses, private equity funds, venture capital funds, and other corporate clients

• Experience with mergers & acquisitions, private equity transactions, venture capital transactions, securities offerings, and general corporate matters

• Experience advising clients regarding public company SEC reporting and compliance, securities law matters, and corporate governance issues

• Experience drafting and negotiating merger agreements, stock purchase agreements, shareholder agreements, venture financing documents, employment agreements, and other corporate transaction documents

• Experience supporting public offerings of equity and debt securities, structured finance transactions, and capital markets matters is preferred

• Strong drafting, analytical, organizational, and communication skills

• Ability to work directly with clients and assume significant responsibility

• Excellent academic credentials

J.D. from an ABA-accredited law school required

Active Minnesota bar admission required
