Supporting up to 6 attorneys, this pivotal role interfaces with cutting-edge industries across mergers and acquisitions, venture capital, tech startups, securities, intellectual property, and specialized regulatory matters. Core Responsibilities

  • Entity Lifecycle Management: Execute end-to-end corporate formations, foreign qualifications, governance amendments, dissolutions, and state withdrawals.
  • M&A Transactional Execution: Spearhead due diligence workflows, engineer virtual data rooms (VDRs), draft ancillary closing documents, and finalize closing binders.
  • Regulatory Compliance & Licensing: Facilitate multi-state business licensing filings for highly regulated fields, including Architecture, Engineering, and Construction (AEC) sectors.
  • UCC & Lien Administration: Coordinate comprehensive Uniform Commercial Code (UCC) filings, judgment searches, and Federal tax lien tracking with external vendors.

Required Qualifications
