Job Description: Data and Technology Transactions Associate
Location: Boston or Century City

Direct Counsel is representing an Amlaw 100 firm seeking a highly qualified Data and Technology Transactions Associate to join its Corporate practice group. This position is ideal for a midlevel associate with a passion for cutting-edge legal work at the intersection of technology, intellectual property, and commercial transactions.

Position Overview:
The firm’s Data and Technology Transactions team advises leading global companies on a wide range of strategic commercial and IP-driven deals. The successful candidate will join a collaborative team and gain significant experience in complex technology and IP transactions across a variety of industries.

Key Responsibilities:
The ideal candidate will have at least 3 years of experience (targeting 4th to 6th year associate level) with:

  • Drafting, negotiating, and advising on technology and IP agreements, including:

    • Software and technology licensing

    • Development and consulting agreements

    • Strategic partnerships and joint ventures

    • SaaS, cloud, and platform agreements

    • Distribution and reseller agreements

    • Website/mobile app terms and privacy policies

  • Supporting M&A, private equity, and financing transactions with respect to intellectual property and technology matters

  • Conducting IP diligence and negotiating IP-related terms in corporate transactions

Qualifications:

  • Minimum of 3 years of relevant experience in data, technology, and IP transactions

  • Strong contract drafting and negotiation skills

  • Prior experience with IP due diligence in M&A, venture capital, or financing deals

  • Excellent academic credentials from an accredited law school

  • Strong communication, analytical, and teamwork skills

  • Admission to practice law in the jurisdiction of the office location

Compensation:
Base salary will be commensurate with experience and market, in line with Amlaw 100 standards.
