Position Summary:
Katz, Sapper & Miller (KSM) is seeking a Senior Associate to join our growing Transaction Advisory Services (TAS) practice. This role provides the opportunity to take a leading role in buy-side and sell-side financial due diligence engagements for private equity and corporate clients. As a Senior Associate, you will oversee portions of engagements, supervise and develop Associates, and play a key part in delivering high-quality analyses and insights that help clients make informed investment decisions.
The position offers a dynamic and flexible work environment with exposure to a wide variety of industries and transaction types. You'll build deep financial acumen, develop project leadership skills, and contribute to the continued growth of KSM's TAS practice.
Responsibilities:
  • Lead day-to-day execution of financial due diligence engagements, managing workflow and ensuring deliverables meet client expectations.

  • Review and analyze target company financial statements, quality of earnings, working capital, and key business drivers.

  • Identify and evaluate deal issues, business risks, and opportunities that may affect valuation or transaction structure.

  • Prepare and review databooks, analyses, and diligence reports; ensure findings are supported, clearly communicated, and aligned with the client's investment thesis.

  • Lead management meetings with target company executives; summarize key findings and follow-up actions.

  • Supervise and coach Associates, providing detailed feedback and fostering their technical and professional development.

  • Communicate effectively with clients, investors, and internal stakeholders, demonstrating professionalism and sound judgment.

  • Apply a growing understanding of GAAP and industry-specific accounting to identify relevant adjustments and trends.

  • Contribute to engagement planning, including scoping, data request lists, and project timelines.

  • Participate in practice development initiatives, including recruiting, training, and process improvement projects.

Requirements/Qualifications:
  • Bachelor's degree in Accounting or Finance.

  • 2-5 years of relevant experience, preferably within Transaction Advisory, Audit, or a related finance role.

  • CPA, CFA, or progress toward certification preferred.

  • Strong understanding of U.S. GAAP and the M&A process.

  • Proficiency in Excel, including complex modeling, databook design, and financial analytics.

  • Excellent written and verbal communication skills, including the ability to synthesize complex findings clearly.

  • Strong project management and leadership skills; proven ability to manage multiple projects and teams.

  • Highly analytical, detail-oriented, and comfortable in a fast-paced, deadline-driven environment.

  • Ability to interact professionally with clients and colleagues at all levels, exercising discretion and judgment.
