Job description

Direct Counsel is seeking a Technology Transactions Associate to join a premier Technology Transactions practice in New York. This is an outstanding opportunity for an attorney with commercial technology and strategic transactions experience who is looking to advise leading companies on complex technology, supply chain, and commercial contracting matters.

The ideal candidate will have experience negotiating and advising on a broad range of technology-driven commercial agreements and a strong interest in supporting innovative businesses across a variety of industries.

Responsibilities
  • Advise clients on sophisticated commercial technology and strategic transactions
  • Draft, review, and negotiate a wide variety of commercial agreements, including:
    • Technology agreements
    • Data center agreements
    • Supply agreements
    • Logistics agreements
    • Distribution agreements
    • Contract manufacturing agreements
  • Counsel clients on technology-related commercial risks and business objectives
  • Structure and negotiate strategic commercial relationships and outsourcing arrangements
  • Support corporate, M&A, finance, and technology transactions involving commercial contract matters
  • Conduct contract analysis and due diligence in connection with strategic transactions
  • Collaborate with clients, business teams, and attorneys across multiple practice areas
  • Manage multiple transactions and client matters simultaneously
Qualifications
  • J.D. from an accredited law school
  • Law school class years 2020–2023
  • Experience advising on commercial technology transactions
  • Experience drafting and negotiating complex commercial agreements
  • Strong understanding of technology-driven business arrangements
  • Excellent drafting, analytical, and negotiation skills
  • Strong project management and organizational abilities
  • Outstanding written and oral communication skills
  • Ability to manage sophisticated matters in a fast-paced environment
  • Strong academic credentials
