Job description

Private Equity Transactions Associate Attorney

Direct Counsel is seeking a Private Equity Transactions Associate Attorney with 3–5 years of experience to join a leading global law firm and its highly regarded Private Equity practice.

Boston, Chicago, New York, or San Francisco

Position Overview

The ideal candidate will have significant experience representing private equity sponsors in sophisticated acquisitions, dispositions, and financing transactions. This is an excellent opportunity for a mid-level transactional attorney to take on meaningful responsibility in complex private equity matters while working with sophisticated financial sponsors and strategic investors.

Responsibilities
  • Represent private equity sponsors and strategic investors in acquisitions, dispositions, and financing transactions.

  • Draft, review, and negotiate purchase agreements, shareholder agreements, financing documents, and other transactional agreements.

  • Conduct thorough legal due diligence and research in connection with potential investments.

  • Advise clients on regulatory compliance and securities matters related to private equity transactions.

  • Assist with the structuring and formation of private equity funds.

  • Advise clients on corporate transactions, corporate governance, and securities regulatory matters.

  • Lead significant portions of transactions independently and manage deal processes from diligence through closing.

  • Collaborate with attorneys and professionals across practice areas to ensure efficient execution of transactions.

  • Supervise and mentor junior attorneys and contribute to their professional development.

  • Monitor industry trends, legal developments, and best practices relevant to private equity transactions.

  • Utilize legal technology and AI tools responsibly to improve transaction efficiency and client service.

Qualifications
  • 3–5 years of private equity transactional experience, preferably at a large law firm.

  • Meaningful experience representing private equity sponsors in acquisitions, dispositions, and financings.

  • Experience representing private equity and strategic investors.

  • Strong understanding of corporate governance and securities compliance in private equity transactions.

  • J.D. from an accredited law school.

  • Admission in good standing to the relevant state bar.

  • Strong legal writing, drafting, negotiation, and analytical skills.

  • Ability to independently manage priorities and work effectively in a fast-paced, deadline-driven environment.

  • Familiarity with legal AI tools and platforms used in corporate transactions preferred.

Compensation

The anticipated salary range for this position is $260,000–$365,000 annually, depending on qualifications, experience, and other relevant factors.
