Job description

Title: Contracts Administrator
Location: Remote
POSITION SUMMMARY: The CPG Contract Administrator is responsible for establishing and operating an AI-enabled contract management capability that supports the full contract lifecycle, from proposal-stage terms and conditions review through contract execution, administration, compliance monitoring, and subcontractor flow-down. This role identifies CPG’s functional, legal, commercial, reporting, and workflow requirements for contract management software; researches and evaluates AI-based contract management solutions; recognizes requirements mandated under the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS; leads selection and implementation activities; conducts testing and user readiness efforts; and manages contracts using the selected platform.

AI-Based Contract Management Software
  • Lead the identification, documentation, and prioritization of requirements for an AI-based contract management software solution, including intake, review, approval workflows, clause libraries, obligation tracking, document storage, reporting, search, analytics, security, permissions, and auditability.
  • Engage internal stakeholders, including executive leadership, project managers, proposal teams, finance, procurement, legal counsel, business development, operations, and subcontractor management personnel, to define current-state challenges and future-state contract management needs.
  • Research available AI-enabled contract lifecycle management platforms and assess their ability to support CPG's proposal, contracting, compliance, and subcontractor flow-down processes.
  • Develop evaluation criteria, participate in vendor demonstrations, compare software capabilities, assess implementation effort, and recommend a preferred solution.
  • Coordinate software selection activities, including requirements traceability, vendor questions, scoring, risk assessment, cost considerations, implementation planning, and leadership decision support.
  • Lead or support implementation of the selected platform, including configuration, data migration planning, template and clause library setup, workflow design, reporting structure, user roles, and governance procedures.
  • Plan and execute user acceptance testing, workflow testing, data validation, AI-assisted review testing, permissions testing, and reporting validation before full deployment.
  • Develop standard operating procedures, user guides, training materials, and adoption plans to promote consistent use of the software across CPG.
Contract Review, Proposal Support, and Contract Formation
  • Review requests for proposals, solicitations, customer-provided terms and conditions, draft agreements, and related procurement documents to identify contractual, commercial, compliance, risk, intellectual property, data, confidentiality, payment, deliverable, schedule, indemnity, insurance, limitation of liability, termination, and dispute resolution requirements.
  • Assess solicitations, proposals, contracts, and related procurement documents to identify applicable requirements under the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS), including required clauses, certifications, representations, compliance obligations, and subcontractor flow-down provisions.
  • Prepare clear assessments of terms and conditions for proposal teams, identifying acceptable terms, exceptions, risks, required clarifications, negotiation points, and recommended proposal responses.
  • Coordinate with legal counsel and business stakeholders to ensure proposed exceptions, assumptions, clarifications, and negotiated positions are consistent with CPG’s risk tolerance and business objectives.
  • Ensure that applicable terms and conditions are addressed in CPG proposals, including required certifications, representations, compliance obligations, customer flow-down requirements, proposal assumptions, and contractual exceptions.
  • When a customer accepts a proposal and a contract is developed, review the resulting agreement to confirm that negotiated terms, proposal commitments, customer requirements, and approved exceptions have been properly incorporated.
  • Maintain traceability between the request for proposal, CPG proposal, negotiation record, final contract, and contract management software record.
Contract Administration and Flow-Down Management
  • Administer active contracts within the contract management software, including record creation, document control, obligation tracking, milestone monitoring, renewal and expiration tracking, reporting, and audit-ready documentation.
  • Identify contract terms and conditions that must flow down to subcontractors, consultants, vendors, or other third parties supporting performance under the customer contract.
  • Coordinate with procurement, project management, legal counsel, and technical leads to ensure subcontractor and consultant agreements include the appropriate customer-mandated, project-specific, compliance, confidentiality, intellectual property, data protection, insurance, invoicing, performance, and termination provisions.
  • Monitor contract and subcontract requirements throughout performance to help ensure obligations are visible, assigned, tracked, and completed on time.
  • Support contract modifications, amendments, extensions, task orders, change orders, closeout activities, and contract-related communications.
  • Identify contract risks, compliance gaps, missing documentation, inconsistent terms, and process improvement opportunities, and recommend corrective actions.

  • Attention to Detail: Ability to maintain accurate records, trace obligations across documents, and ensure that proposal commitments and contract terms are consistently reflected.

Education/Experience:
Required Qualifications
  • Bachelor’s degree in business administration, contract management, procurement, legal studies, finance, information systems, or a related field; equivalent experience may be considered.
  • Experience reviewing, managing, or administering commercial, professional services, consulting, technology, government, or customer-facing contracts.
  • Demonstrated ability to interpret contractual terms and conditions and identify business, operational, compliance, and financial risk.
  • Experience supporting proposal development, RFP review, contract negotiation, contract administration, or subcontractor management.
  • Familiarity with contract lifecycle management software, document management systems, workflow tools, AI-enabled review capabilities, or enterprise software implementation projects.
  • Strong writing, communication, stakeholder management, analytical, organizational, and project management skills.
  • Must be US Citizen
Preferred Qualifications
  • Extensive experience working with the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS) in preparing, reviewing, and negotiating contract language, proposals, subcontracts, and related contractual documents.
  • Experience selecting, implementing, configuring, or administering contract lifecycle management software.
  • Experience using AI-based tools for contract review, clause extraction, obligation identification, search, analytics, or workflow automation.
  • Knowledge of subcontractor flow-down requirements, consultant agreements, procurement terms, and third-party risk management.
  • Contract management certification, paralegal training, procurement certification, project management certification, or similar professional credential.
  • Experience working with cross-functional teams that include legal, finance, procurement, operations, business development, and technical personnel.

  • Required customer terms and conditions are appropriately flowed down to subcontractors and consultants.
  • Contract obligations, deadlines, risks, amendments, and closeout requirements are visible, assigned, and tracked in the contract management software.
