Job Description

The Contract Manager II is primarily responsible for creating, drafting, negotiating, and maintaining moderately complex third party-contracts. The Contract Manager II works closely and regularly communicates with assigned internal business units, resources, and stakeholders, including risk management, compliance, and General Counsel, to ensure all third-party agreements meet and are in compliance with BOKF’s contract administration and third-party management policies and procedures. The Contract Manager II serves as the focal point on BOKF’s contract administration procedures and provides the strategic direction to the assigned business unit(s) when making commitments for the bank, with primary focus on cost avoidance, risk mitigation and regulatory compliance. The position will efficiently incorporate changes and edits during the contract process, whilst ensuring both internal and external follow up to expedite the implementation of final approvals and agreements to improve efficiencies, reduce operating costs, leverage expertise, and achieve strategic goals. This position reviews, interprets, modifies, and negotiates terms and conditions of various contractual agreements including, but not limited to, non-disclosure agreements, master services agreements, software license agreements, statements of work etc. This position requires the highest level of business ethics and integrity.

How You'll Spend Your Time
  • You'll establish contract negotiation strategies and foster a competitive negotiation environment.
  • You'll ensure the contract is reviewed, approved, and signed following the bank's contract management procedures.
  • You'll provide strategic direction in contractual matters, including, but not limited to, execution of confidentiality agreements, software license agreements, master purchasing agreements, and marketing agreements, etc.
  • You'll serve as a liaison between the business unit and General Counsel to ensure all contracts are reviewed by an attorney and contain approved contract language.
  • You'll manage the recording and imaging of all contracts to ensure proper administration and retention in a centralized database.
  • You will manage the transfer or termination of contracts for acquired banks.
Education & Experience Requirements

This level of knowledge is normally acquired through completion of a bachelor’s degree or Juris Doctor (JD) degree; and 5-7 years of work-related experience, or 10 equivalent years of experience in contract drafting and negotiating.  

  • Proficient contract drafting skills.
  • Knowledge of complex contract terms and conditions; financials; and pricing models.
  • Experience planning, strategizing & negotiating technical & non-technical contracts.
  • Disciplined to document and administer detail-oriented contracts.
  • Excellent interpersonal skills, including both oral and written to communicate with senior BOKF management and third-party executive management concisely and effectively.
  • Independent self-starter with high degree of confidence and business acumen.
  • Experience of Microsoft PowerBI or advanced data reporting preferred although not essential.
